<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 21.75pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">任何企业进行并购投资都是以获得利润和协同效应为目的，被收购方也是为了获得并购利益才会同意被收购。从这个意义上来讲，新公司的良性发展是并购方、被并购方出资者以及企业员工三方的共同利益所在。企业兴旺则三方共赢，企业衰落则三方共损。因此，虽然以下观点是站在收购方的立场上探讨管理人员安排问题，然而笔者的初衷完全是希望新公司能够建立起平稳运行、良性发展的基础，实现三方共赢。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>
<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 21.75pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">被并购方的管理人员长期处于既得利益者的位置，在并购之前掌握着企业全部权力、利益及市场资源。一旦第一大股东易主，公司管理控制权必然转移。此时，被并购方的管理人员易于产生较大的心理落差，甚至出现一定的抵触心理或对抗行为，这都是很常见的现象。在这里我们不讨论出现这种现象是否违背管理者的职业道德，仅将此作为一种客观存在的现实，站在并购方的角度探讨赢得这场博弈的方式。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 21.75pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">笔者认为新公司人员合理布局，首先取决于被并购公司现有管理人员的状况。如果原公司长期运行状态良好，管理层的经营思路与管理方法基本符合集团公司总体发展要求，那么并购方可以采取怀柔政策，仅委派比较具有亲和力的管理者代表及少数关键岗位成员，以安抚、团结、引导为初期工作重点，尽量消除原管理层可能具有的危机感及对抗情绪。并通过制度化建设与合理授权，将他们的个人利益与企业发展目标结合在一起。此时，并购方的管理文化也宜采取逐步渗透的方式进入新公司，力求保持原公司关键高管人员、核心骨干员工、重要客户资源不流失，经营生产连续性不被破坏。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">企业中经常会出现这样的情况：各项规章制度已经非常健全，质量管理体系也做到了流程科学合理，体系文件覆盖全面。但是质量事故仍然屡禁不止，一些低级错误在员工中还是一再出现。于是管理者易于得出这样的结论&mdash;&mdash;在企业各项规章制度健全的情况下，出现较多的质量问题的根源在于员工们职业素质低下。但是笔者认为：企业中存在的任何陋习都与现行的奖励制度有关，奖励制度的导向决定了员工的价值取向。如果占有一定比例的员工出现了违背职业规范的行为，首先说明企业的检查与激励机制存在不合理因素，以至于引导这部分员工做出了有悖于企业价值观的选择。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>
<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">为了避免员工做出逆向选择，企业需要建立起有效引导员工个人价值观与企业价值观保持一致的管理制度。普遍而言，员工只会认真对待被上级检查并奖惩的工作，而不会关注被上级期望的事情。从这个意义上讲：严格检查手段与有效的奖惩措施决定了企业的执行力。因此，建立科学的考核体系，定时、定点、定岗、定人、定责地进行检查，并配合有效的激励机制跟进，才能有效引导员工价值观与企业价值观保持一致，保障战略发展目标按照计划实现。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">二、在具有一定生产规模的企业当中，人力资源部门不大可能对所有岗位的内涵都具有清晰的理解和认识。在正常情况下，真正了解每个岗位运行特点和潜能的人应该是本部门经理。因此，由部门经理承担员工绩效指标分解工作，可以更加符合各岗位的运行特点，更有利于发挥部门潜力。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>
<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">三、以部门经理为主开展员工绩效管理工作并不意味着部门经理可以随心所欲地决定每一位员工的绩效管理办法，高管层需要通过制度化建设对部门经理的权力加以控制。缺乏有效控制的授权容易导致权力私欲膨胀，易于在部门中繁殖&ldquo;排斥异己，激励亲信&rdquo;的官场文化。因此，人力资源部需要在员工绩效考核工作中承担起审察指标设置合理性以及监督考核过程合规性的责任，确保部门员工拥有一个相对职业化的工作环境，引导员工把主要精力投入到努力创造企业价值的工作和学习当中。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">因此，在实际操作过程中，（子公司&mdash;&mdash;部门经理&mdash;&mdash;小组&mdash;&mdash;员工）四个层级之间需要实现一种相互驱动关系，指标分解工作决不是简单的将下一级指标数值相加等于上一级。也就是说当我们进行目标分解的时候，真正要把握的是驱动效果，而不必刻意追求一加一等于二的数值计算。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-ascii-font-family: ’Times New Roman’; mso-hansi-font-family: ’Times New Roman’">八、绩效考核工作不能急于求成，具有一定规模的企业更要稳中求进，千万不可以把绩效考核直接推进到小组和员工的层面。如果第一步工作没有完成就同时进入第二步和第三步，将会带来很多的负面后果。首先，第一步中隐含的错误将在第二步和第三步中被逐步放大；其次，绩效管理办法不可能一锤定音，根据实际情况进行调整是必须经历的过程。如果第一步中的内容需要调整，同时又必须连带后面的步骤一起做调整，这样很可能导致绩效考核办法越调越乱；部门经理就会无所适从，组长和员工们则更加迷失方向，最终必将失去大家对绩效管理工作的热情和支持。</span><span lang="EN-US" style="FONT-SIZE: 12pt"><o:p></o:p></span></p>
