<p class="MsoNormal" style="BORDER-RIGHT: medium none; PADDING-RIGHT: 0cm; BORDER-TOP: medium none; PADDING-LEFT: 0cm; PADDING-BOTTOM: 0cm; MARGIN: 0cm 0cm 0pt -8.55pt; BORDER-LEFT: medium none; TEXT-INDENT: 24pt; LINE-HEIGHT: 24pt; PADDING-TOP: 0cm; BORDER-BOTTOM: medium none; mso-line-height-rule: exactly; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt; mso-border-alt: solid white 3.0pt; mso-border-top-alt: solid white .25pt; mso-padding-alt: 0cm 0cm 0cm 0cm"><span style="FONT-FAMILY: 宋体"><font size="3">综合以上规定来看，出卖人负有办理产权登记的义务，如果开发商违反办证义务，就应承担违约责任，对这一点应该没有什么悬念。现在很多的开发商都会在合同示范文本或补充协议中约定&ldquo;如因产权主登记机关的原因，导致买受人不能在规定的期限内取得房产权属证书的，不视为出卖人违反办证义务&rdquo;，以避免因产权主登记机关的原因导发的争议。这里面就涉及一个如何理解《解释》第<span lang="EN-US">18条规定的&ldquo;由于出卖人的原因？&rdquo;和双方约定的&ldquo;因产权主登记机关的原因&rdquo;的问题。<o:p></o:p></span></font></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 22pt; mso-line-height-rule: exactly; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span lang="EN-US" style="COLOR: green; FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体"><font size="3">2000年、2001年间，上海某房产开发商将自己建造的&ldquo;静安丽舍&mdash;&mdash;恒辉阁&rdquo;房产对外预售时，宣传广告说小区楼房间距有５０米、小区绿化率为５０％。上海一些市民冲着大间距的楼距先后购买名为&ldquo;静安丽舍&mdash;&mdash;恒辉阁&rdquo;（即&ldquo;静安丽舍&rdquo;一期）的商品房入住。<o:p></o:p></font></span></p>
<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 22pt; mso-line-height-rule: exactly; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span lang="EN-US" style="COLOR: green; FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体"><font size="3">2002年２月，开发商又开始建造&ldquo;静安丽舍&rdquo;二期，并于同年２月２８日，在&ldquo;恒辉阁&rdquo;大堂张贴经修改后的小区规划平面图及开工敬告。业主们这才得知，拟建的&ldquo;容辉阁&rdquo;与&ldquo;恒辉阁&rdquo;的间距，从原来约定的50米缩小为30.4米。38户业主对开发商擅自变更小区规划表示不满，于2003年３月提起诉讼，要求开发商支付擅自改变小区规划的违约金共约40万元。&nbsp; <o:p></o:p></font></span></p>
<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 12pt; LINE-HEIGHT: 22pt; TEXT-ALIGN: left; mso-line-height-rule: exactly; mso-pagination: widow-orphan; mso-char-indent-count: 1.0; mso-char-indent-size: 12.0pt" align="left"><font size="3"><span style="COLOR: green; FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体">　上海市静安区法院审理后认为，房产开发商在销售广告和宣传资料中所附的小区规划平面示意图，显示的是小区平面布局，具体明确，这对双方预售合同的订立及房价的确定有重大影响，应视为要约。尽管平面示意图未附属在双方签订的《上海市内销商品房预售合同》中，但亦应视为合同的内容之一，对当事人双方均产生约束力。示意图中明确注明<span lang="EN-US">&ldquo;荣辉阁&rdquo;为点式高层建筑，开发商未经业主们的同意，却在&ldquo;静安丽舍&rdquo;二期施工中，改成了板式建筑，使得&ldquo;恒辉阁&rdquo;与&ldquo;荣辉阁&rdquo;之间的间距缩小至３０．４米，明显违反了小区规划，属于违约行为。</span></span><span lang="EN-US" style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体">&nbsp; <o:p></o:p></span></font></p>

<p class="MsoBodyTextIndent3" style="MARGIN: auto 0cm auto -12pt; LINE-HEIGHT: 22pt; mso-line-height-rule: exactly"><span style="FONT-FAMILY: 宋体"><font size="3">第一、现房销售。在现房销售中，消费者往往对于房屋的结构、周边环境、配套设施、公共设施等均有直观的了解，在购房时，就应该知道出卖人交付的房屋及配套是否与广告宣传的一致。如果消费者不提异议的，应视为其接受所购房屋的现状，而不宜认定为出卖人违约；如果消费者提出异议，出卖人承诺作出更改而不更改的，应视为出卖人违约。<span lang="EN-US"><o:p></o:p></span></font></span></p>

<p class="MsoNormal" style="MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 24pt; LINE-HEIGHT: 28pt; mso-line-height-rule: exactly; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt">这里面比较容易出现争议的是怎么理解&ldquo;具体确定&rdquo;。我认为，具体确定的要求是广告内容应该特定的、不抽象的、不笼统的。比如说小区绿化达到<span lang="EN-US">80％，规划内设立</span></span><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-bidi-font-size: 14.0pt">商场、超市、医院、学校、幼儿园、游泳馆、球场、健身房等，这些广告应认定为具体确定的条件。像什么&ldquo;鸟语花香&rdquo;&ldquo;人间仙境&rdquo;，还有&ldquo;白领家园&rdquo;，&ldquo;时尚居所&rdquo;之类的约定，不说也罢。谁能够说清楚多少只鸟叫多少朵花开就可以算是&ldquo;鸟语花香&rdquo;了？至于&ldquo;人间仙境&rdquo;更是虚无缥渺。</span><span lang="EN-US" style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt"><o:p></o:p></span></p>

<p class="MsoNormal" style="BORDER-RIGHT: medium none; PADDING-RIGHT: 0cm; BORDER-TOP: medium none; PADDING-LEFT: 0cm; PADDING-BOTTOM: 0cm; MARGIN: 0cm 0cm 0pt; BORDER-LEFT: medium none; TEXT-INDENT: 24pt; LINE-HEIGHT: 28pt; PADDING-TOP: 0cm; BORDER-BOTTOM: medium none; mso-char-indent-count: 2.0; mso-char-indent-size: 12.0pt; mso-line-height-rule: exactly; mso-border-alt: solid white 3.0pt; mso-border-top-alt: solid white .25pt; mso-padding-alt: 0cm 0cm 0cm 0cm"><span style="FONT-SIZE: 12pt; FONT-FAMILY: 宋体; mso-bidi-font-size: 14.0pt">第一、《城市房地产管理法》作为行政管理法，主要是对出卖人开发经营行为的行政监管和规范。《城市房地产开发经营管理条例》第<span lang="EN-US">24条明确列举了商品房预售许可证的必备条件和取得的相关程序，其中就包括了《城市房地产管理法》第44条规定的前3个条件。这就表明，只要出卖人按照程序向房地产行政部门申请办理取得预售证明的，即可认定其具备全部预售条件。<o:p></o:p></span></span></p>

<p>&nbsp; 我们继续刚才的话题，接下来给大家介绍商品房销售中应注意的几个法律问题。</p>
<p>&nbsp;</p>
<p><strong>首先介绍&ldquo;关于商品房认购书和定金的效力问题&rdquo;。</strong></p>

<p>&nbsp;</p>
<p>出卖人与买受人在签订商品房买卖合同前先行签订认购书，就房屋买卖有关事宜进行初步确认，并收取一定数量的定金作为将来签订商品房买卖合同的担保，这种形式在当前商品房买卖中被广泛使用。因双方认购书签订后又无法达成商品房买卖合同而引发的纠纷也应运而生。</p>
<p>&nbsp;</p>
<p>我最近看到《羊城晚报》刊登了一则新闻，大致内容是说：广州市某法院执行庭的庭长与一开发商签订商品房认购书并交2万元定金，之后由于双方对商品房买卖合同无法达成一致，庭长要求开发商退还定金，遭到开发商的拒绝。最终庭长还是通过私人关系才如数拿回本应属于自己的定金。这一起普通的商品房认购书纠纷，&ldquo;荣登&rdquo;《羊城晚报》的原因是纠纷的当事人有着特殊的身份，你想想，堂堂人民法院执行庭的庭长，要退回属于自己的定金，还得动用私人关系，如果是普通的消费者呢？</p>
<p>&nbsp;</p>
<p>这里面涉及的法律问题是如何理解商品房认购书和定金的效力问题？我们先看一下最高法院《解释》对此问题的规定。</p>
<p>&nbsp;</p>
<p>《解释》第4条规定：&ldquo;出卖人通过认购、订购、预订等方式向买受人收受定金作为订立商品房买卖合同担保的，如果因当事人一方原因未能订立商品房买卖合同，应当按照法律关于定金的规定处理；因不可归责于当事人双方的事由，导致商品房买卖合同未能订立的，出卖人应当将定金返还买受人。&rdquo;</p>
<p>&nbsp;</p>
<p>第5条又规定：&ldquo;商品房的认购、订购、预订等协议具备《商品房销售管理办法》第16条规定的商品房买卖合同的主要内容，并且出卖人已经按照约定收受购房款的，该协议应当认定为商品房买卖合同。&rdquo;</p>
<p>&nbsp;</p>
<p>根据以上的规定，我们可以看出，司法解释对于认购书的认定，分两种情况：一种情况是认定为预约；第二种情况是认定为商品房买卖合同。</p>
<p>&nbsp;</p>
<p>对于预约的处理，《解释》第5条规定了两种处理原则：一是因为当事人一方的原因未能订立商品房买卖合同的，按照法律关于定金的规定处理，即对买受来说是不退、对出卖人来说是双倍返还；二是因不可归责于当事人双方的事由，导致商品房买卖合同未能订立的，出卖人应当将定金返还买受人。</p>
<p>&nbsp;</p>
<p>那么，怎么理解&ldquo;因为当事人一方的原因未能订立商品房买卖合同&rdquo;和&ldquo;因不可归责于双方当事人的事由&rdquo;，将影响到对定金的处理，这同时也是容易产生争议的地方。现在有些地方的法院认为：双方对于主合同即商品房买卖合同的某些条款无法协商达成一致，造成主合同无法签订的，就应该认定为&ldquo;因不可归责地双方当事人的事由&rdquo;，定金应返还。而有些地方的法院则认为：买受人在交纳定金之前，明知交纳定金是为了签订主合同提供担保，其本身就有义务先详细了解主合同的内容再交纳定金，买受人在交纳定金后，以主合同条款双方无法达成一致为由，拒绝签订主合同，买受人未履行认购书的义务，定金不应返还。</p>
<p>&nbsp;</p>
<p>我认为，在处理双方无法签订主合同的情况下，要综合立法目的、认购书的法律性质、认购书的内容、无法签订主合同的原因，以及出卖人与买受人是否完成认购书约定的义务等等情况综合分析。</p>
<p>&nbsp;</p>
<p>第一、从立法目的看</p>
<p>《解释》第4，第5条规定定金的处理原则，</p>
<p>对开发商来说，其目的主要是为了减少定金圈套，防止开发商诱使消费者签订认购书并收取定金，之后抛出不合理的交易条件，最终违背公平交易。</p>
<p>对消费者来说，是为了防止消费者在与多个出卖人签订认购书后，继续多处看房，最后仅与一家开发商签订商品房买卖合同，致使开发商空等一场，失去众多的交易机会而显失公平。</p>
<p>&nbsp;</p>
<p>第二、我们谈谈认购书的法律性质</p>
<p>认购书或认购协议的本身，符合合同的法律特征，是一种独立的合同。从认购书主要条款来看，它约定的是当事人签订商品房买卖合同之前相关事宜进行约定，是约定当事人双方有义务在一定的期限内签订商品房买卖合同，它最突出的特征在于约定当事人将来订立合同而履行谈判义务。合同约定的是当事人为特定行为的义务，而不是对行为结果的直接确认。这一点很重要，是区别于商品房买卖合同的关键。根据《解释》的规定，只要当事人为缔结买卖合同而进行了磋商，就是履行了预约的义务，而不能将认购书理解为对日后签订主合同的承诺。简直来说吧，签订认购书，不一定日后要签订商品房买卖合同，但日后一定要来磋商商品房买卖合同的签订事宜。</p>
<p>&nbsp;</p>
<p>第三，我们谈谈此类案件的处理原则</p>
<p>1、认购书约定的内容与《商品房销售管理办法》第16条规定的商品房买卖合同应当具备的主要内容基本相同的，应当适用《解释》第5条的规定处理，即该认购书属于商品房买卖合同。</p>
<p>&nbsp;</p>
<p>2、认购书约定的内容比较简单，仅表示当事人之间有将来订立商品房买卖合同的意思的，但买卖合同的详细内容并未涉及，对此，应理解为双方对本约的内容还没有达成共识，双方负有的义务是将来就买卖合同的签订进行磋商。如买受人明确表示拒绝与开发商进行磋商，才产生未履行认购书的违约责任。</p>
<p>&nbsp;</p>
<p>3、认购书约定了商品房买卖合同的必备条款，但未包括全部条款，也就是说，较之我刚才介绍的第一种情况简单，较第二种情况复杂，对此，应如何理解呢。我认为，要区分两种情况区别对待：</p>
<p>第一种情况：如果双方争议的条款在认购书中已经出现，说明双方就此问题已经达成过一致，双方在签订主合同时应当接受，否则以违约论之。</p>
