<p style="BACKGROUND: white; LINE-HEIGHT: 16.5pt"><font face="宋体"><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">　　简单地说，关联交易是指在上市公司与关联人士之间发生的交易，关联交易与普通交易之间的重大区别在于前者是发生在具有特定关联关系的当事人之间的交易。由此可进而看出关联交易的两个主要特征：一是它是在上市公司与关联人士之间发生的交易行为；二是上市公司与关联人士之间所进行的是交易行为，而不是管理或其他行为。关联交易与同业竞争之间的区别在于同业竞争主体之间为利益相反的关系，而关联交易主体之间不是必然为利益相反的关系，很多情况下是利益共同的关系。同时，同业竞争与关联交易相比，往往延续的时间较长，</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;"><a href="http://www.studa.net/"><span style="COLOR: windowtext; FONT-FAMILY: 宋体; TEXT-DECORATION: none; text-underline: none">影响</span></a></span><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">难以客观评价。法律对关联交易进行限制的目的在于从外部对关联企业基于内部关系产生的具有消极作用的内部活动与安排进行管制，以保护从属公司及其债权人以及子公司少数股东的利益。</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;"><o:p></o:p></span></font></p>
<p style="BACKGROUND: white; LINE-HEIGHT: 16.5pt"><font face="宋体"><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">　　从我国目前国有企业改组为上市公司的情况看，关联人士主要是关联企业。虽然法律并不限制自然人作为股份公司的发起人或股东，但从我国目前的实际情况看，作为上市公司控股股东的主要是国家股或国有法人股。我国进行国有资产重组并在境内外上市后，国家股或国有法人股的股东控制着该上市公司，这样一来则该上市公司必然会与上述控股股东所属的其他经营实体或业务之间存在关联交易。因此，国有企业改组为上市公司之后的关联人士主要是国家股或国有法人股的持股者。但对上市公司国有股持股单位的不同选择将导致不同的关联企业，一般情况下，持股单位级别越高，与上市公司之间构成关联关系的企业就越多。</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;"><o:p></o:p></span></font></p>

<p style="BACKGROUND: white; LINE-HEIGHT: 16.5pt"><font face="宋体"><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">　　这一内容实际上是法律对&ldquo;关联股东&rdquo;的限制性规定。</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;"><a href="http://www.studa.net/china/"><span style="COLOR: windowtext; FONT-FAMILY: 宋体; TEXT-DECORATION: none; text-underline: none">中国</span></a></span><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">证监会</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;">1997</span><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">年</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;">12</span><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">月</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;">16</span><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">日曾颁布《上市公司指引章程》（以下简称《章程》），其中第七十二条规定：&ldquo;股东大会审议有关关联交易事项时，关联股东不应当参与投票表决，其所代表的有表决权的股份数不计入有效表决总数；股东大会决议的公告应当充分披露非关联股东的表决情况。如有特殊情况关联股东无法回避时，公司在征得有关部门同意后，可以按照正常程序进行表决，并在股东大会决议公告中作出详细说明。&rdquo;按照证监会《关于发布的通知》的要求，上述规定必须载入上市公司章程。较之于香港证交所规定只有重大的关联交易才必须由没有利害关系的股东独立投票通过的规定，我国法律在关联交易方面对关联股东的限制是非常严格的。然而必须指出的是，该《章程》所规定的内容是与《公司法》规定的一股一票制度相违背的，但却符合国际上关于公司法对于小股东权益保护的立法趋势（注：一股一票制度是一种股东权利的分配制度，其背后是资本多数原则，本质是对公司的大股东或控股股东有利，而又合法地剥夺了少数股东获取机会的制度。因为在一股一票的制度下，由于控股股东在公司中所占的股份比例数比较多，意味着公司大股东可以任意利用控股权操纵公司的经营，甚至通过关联交易转移利润，侵害中小股东的利益。）。这一制度的确立是对我国公司法股东权利分配制度的重要补充和发展，同时也意味着我国公司法需要进一步完善的迫切性。</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;"><o:p></o:p></span></font></p>
<p style="BACKGROUND: white; LINE-HEIGHT: 16.5pt"><font face="宋体"><span style="FONT-SIZE: 10.5pt; mso-ascii-font-family: ''; mso-hansi-font-family: ''">　　在我国上市公司的实例中，尤其是在国有独资公司作为独家发起人设立股份公司并在境外发行并上市外资股的实例中，常常会发生关联股东合法权益受到侵害的情况。国有企业作为控股股东受《章程》有关回避规定限制的情况比较明显，在股东大会审议关联交易事项时必须回避。关联股东与上市公司之间发生的任何关联交易事项，根据规定应由非关联股东进行表决。而在上市公司的情况下，非关联股东表现为持有公众股的股东。由于公众股股权比较分散，一些持股量较大的非关联股东，就有可能掌握对关联交易的决定权。在这种情况下，控股股东也可能会面临该非关联股东通过恶意收购公司股份，阻碍控股股东与上市公司之间进行合法关联交易的风险。对这种情况的规范和预防，在我国现阶段同样没有法律规定。实践中，一些关联股东为了维护自身的合法权益，会在章程中做出相应的规定，比如规定非关联股东对关联交易事项进行表决和做出决议必须符合一定条件等。同时，鉴于《章程》对关联股东参与表决的特殊情况未作明确限制性规定，章程中也可借此对在哪些情况下关联股东可按正常程序进行表决做出明确规定。</span><span lang="EN-US" style="FONT-SIZE: 10.5pt; FONT-FAMILY: &quot;&quot;"><o:p></o:p></span></font></p>

<p>　　苏州市民：&ldquo;我觉得不应该判刑，因为什么呢，他是为了要回自己的东西，被盗的东西。&rdquo;</p>
<p>　　苏州市民：&ldquo;他本来是抓小偷的，你不抓小偷，还去判他(李文龙)刑，以后看见小偷谁还敢去抓啊。&rdquo;</p>
<p>　　这起案件的判决在法律界也有不同的观点，一些法学专家认为，小偷偷电动车，构成了盗窃罪，而他在逃跑的过程中使用暴力抗拒抓捕，应该已经转换为抢劫罪。</p>
<p>　　苏州大学法学院陆岸：&ldquo;对于抢劫罪是一种暴力型犯罪，对于这种暴力型犯罪，我国刑法明文规定，应当是一种无限防卫权。&rdquo; </p>
<p>　　律师钱峰：&ldquo;根据我国刑法，正当防卫的特殊防卫，对正在进行行凶，抢劫，强奸以及其他严重侵害人身安全的暴力犯罪，对他进行防卫的话，就是造成不法侵害人伤亡的，也属于正当防卫，也不负刑事责任。&rdquo;</p>
<p>　　也有不少法律专家支持法院的判决，认为人身权肯定是大于财产权的，李文发行为过激。</p>
<p>　　律师陈黎：&ldquo;追上去看你采取什么行为，如果扭送到公安机关，当然可以的，如果是对盗窃者进行人身伤害的话，我认为是不妥当的。&rdquo;</p>
<p>　　审判员包军认为，虽然此案中李文发被定了罪，但并不表示法律不支持群众和小偷做斗争，更不意味着小偷可以有恃无恐。</p>
<p>　　审判员包军：&ldquo;小偷把电瓶车扔掉了，这样的话他的侵害行为已经结束了，他就是停止犯罪他逃跑了，你再追上去，从法律上讲就是防卫不适时，造成损害都是要承担法律后果，所以要勇于跟犯罪分子做斗争，还要善于做斗争，并不是凭着蛮力就可以的。&rdquo; </p>

mso-bidi-language: AR-SA">、双方共同做好保密工作。首先，用人单位自身应当注重技术秘密和经营信息的安全。凡涉及商业秘密的一切资料包括于合同、协议、计划书、客户名单、技术图纸、软件程序、数据库源码、磁盘、备忘录、书信、传真、笔记等文字资料及有关物品，都必须进行严格的管理及保护，防止资料丢失、被盗或被篡改。作为职工一方，则应当自觉遵守公司的各项规章制度，认真履行保密协议的义务，避免侵犯他人的商业秘密而承担相应的法律责任。只有双方共同切实做好保密工作，才能使保密协议得以顺利执行，大大减少商业秘密泄露、披露的渠道，从而减少商业秘密纠纷。</span><span lang="EN-US" style="FONT-SIZE: 15pt; <p style="LINE-HEIGHT: 150%"><span style="FONT-SIZE: 10.5pt"><font face="宋体">我国法律未对人力资源管理规章制度生效要件做出明文规定，根据现行法律法规、司法解释及其体现的法律精神及基本法理，企业制定离职管理规章制度须符合以下条件：<span lang="EN-US">⑴必须合法，包括内容合法和程序合法。⑵不得违反劳动合同和集体合同的约定。若企业与员工的劳动合同中就离职有相关的权利与义务约定，应按其执行。⑶要向员工公示。公示也就是让员工在制度实施时知悉，未经公示而在员工离职时才交予员工阅知的规章制度，对员工不具有约束力。《最高人民法院关于审理劳动争议案件适用法律若干问题的解释》规定：用人单位根据《劳动法》第四条之规定，通过民主程序制定的规章制度，不违反国家法律、行政法规及政策规定，并已向劳动者公示的，可以作为人民法院审理劳动争议案件的依据。 <o:p></o:p></span></font></span></p>

<p style="LINE-HEIGHT: 150%"><span style="FONT-SIZE: 10.5pt"><font face="宋体">对于掌握企业商业秘密（含经营信息及技术信息）的关键岗位的重要管理人员和专业技术人员的离职，企业不仅要在离职办理中注意防范问题的出现，而且应在劳动合同等法律文书中做出约定。脱密期约定。 所谓脱密期，是指对负有保守企业商业秘密义务的员工，企业在劳动合同解除或终止前的一定期限内，使其脱离涉及商业秘密的岗位。在企业与关键岗位的核心员工签订的劳动合同中，可以对员工要求解除劳动合同的提前通知期做出约定，在这个期限内，企<span lang="EN-US"><o:p></o:p></span></font></span></p>

<p style="LINE-HEIGHT: 150%"><span style="FONT-SIZE: 10.5pt"><font face="宋体">竞业限制约定。 企业在员工入职、工作期间可与员工签订竞业限制协议，也可以在员工离职时与员工签订。需要注意两个问题，一是竞业限制期限；二是竞业限制补偿。根据《江苏省劳动合同条例》规定：<span lang="EN-US">&ldquo;用人单位与负有保守商业秘密义务的劳动者，可以在劳动合同或者保密协议中约定竞业限制条款，职工在终止或解除劳动合同后一定期限内（不超过3年），不得再生产同类产品及有竞争关系的产品或经营同类业务，但用人单位应当给予该职工一定数额的经济补偿。&rdquo; <o:p></o:p></span></font></span></p>
