<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 24pt; LINE-HEIGHT: 150%"><font face="宋体" size="3">根据《劳动法》第十六条规定<span lang="EN-US">:</span>劳动合同是劳动者与用人单位确立劳动关系、明确双方权利和义务的协议。建立劳动关系应当订立劳动合同。所以用人单位从劳动者入职之前或当天就应当与劳动者签定劳动合同。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 24pt; LINE-HEIGHT: 150%"><span lang="EN-US"><br /><span style="mso-spacerun: yes"><font face="宋体" size="3">&nbsp;&nbsp;&nbsp; </font></span></span><font size="3"><font face="宋体">现实中有不少的企业在员工入职时<span lang="EN-US">,</span>没与员工签劳动合同<span lang="EN-US">,</span>没有通过书面形式明确劳资双方的权利义务<span lang="EN-US">,</span>而是试用几个月之后<span lang="EN-US">,</span>认为他们能适应工作岗位才与他们签劳动合同。有些经营者认为这样做<span lang="EN-US">,</span>无论怎样说对自己都有利。其实这不仅违反劳动法规定<span lang="EN-US">,</span>可能会遭到劳动部门的处罚；另一方面也有可能给企业带来潜在的危险。<span lang="EN-US">(</span>后面将详细说明<span lang="EN-US">)</span></font></font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 24pt; LINE-HEIGHT: 150%"><font face="宋体" size="3">劳动合同的期限分三类<span lang="EN-US">:</span>有一定期限的劳动合同、有完成一定任务的劳动合同、不定期限的劳动合同。虽然《劳动法》规定劳动合同中可以约定不超过六个月的试用期<span lang="EN-US">,</span>但如果劳动合同期限在六个月以下的<span lang="EN-US">,</span>试用期不超过<span lang="EN-US">15</span>天；如果劳动合同期限在六个月以上一年以下的<span lang="EN-US">,</span>试用期不超过<span lang="EN-US">30</span>天；如果劳动合同期限在一年以上二年以下的的<span lang="EN-US">,</span>试用期不超过<span lang="EN-US">60</span>天。试用期包括在劳动合同期限中。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 24pt; LINE-HEIGHT: 150%"><font face="宋体" size="3">一般要求使用劳动部门印制的劳动合同文本<span lang="EN-US">,</span>单位自印的文本也可以使用<span lang="EN-US">,</span>但内容不能违反劳动法的规定。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30.1pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font size="3"><strong style="mso-bidi-font-weight: normal"><span style="FONT-FAMILY: 黑体">第四、劳动者工作时间的问题</span></strong><span lang="EN-US" style="FONT-FAMILY: 黑体"><o:p></o:p></span></font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">国家实行劳动者每日工作时间不超过八小时、平均每周工作时间不超过四十四小时的工时制度。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">如果企业实行三班轮班制度<span lang="EN-US">,</span>最好在劳动合同或企业生产规章制度中说明<span lang="EN-US">,</span>并提前向员工说明轮班的情况；如果只是白天工作的<span lang="EN-US">,</span>中午吃饭及午休的时间是否包含在工作时间之中<span lang="EN-US">,</span>最好在劳动合同或企业规章制度中有说明清楚<span lang="EN-US">,</span>否则会引起误解<span lang="EN-US">,</span>也有可能无法充分调动员工的积极性。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">《劳动法》第四十一条规定：用人单位由于生产经营需要，经与工会和劳动者协商后可以延长工作时间，一般每日不 得超过一小时；因特殊原因需要延长工作时间的，在保障劳动者身体健康的条件下延长工作时间每日不得超过三小时，但是每月不得超过三十六小时。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">企业就是生产任务很紧<span lang="EN-US">,</span>也应按《劳动法》第四十一条规定执行<span lang="EN-US">,</span>否则不仅违法<span lang="EN-US">,</span>也过度透支员工的脑力、体力<span lang="EN-US">,</span>影响劳动力的持续性<span lang="EN-US">,</span>不利于企业的发展；这种情况也容易出现事故。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30.1pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><strong style="mso-bidi-font-weight: normal"><span style="FONT-FAMILY: 黑体"><font size="3">第五、单位规章制度或员工手册最好在员工入职签定劳动合同时<span lang="EN-US">,</span>明确告知员工<span lang="EN-US">,</span>另外让员工在单位规章制度或员工手册上签字确认<span lang="EN-US">,</span>劳资双方各留一份作为劳动合同附件。<span lang="EN-US"><o:p></o:p></span></font></span></strong></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">这种细化填补劳动合同条款先天的不足<span lang="EN-US">,</span>同时在劳资纠纷发生时<span lang="EN-US">,</span>也不必要在这方面花太大的精力去举证<span lang="EN-US">,</span>对付死缠烂打的员工也有了对策<span lang="EN-US">,</span>他也无法狡辩；也对员工的心理起了震慑作用。当然这些规章制度要合法合理，否则员工会产生逆反心理<span lang="EN-US">,</span>伤了员工的积极性和能动性。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">劳动者重大过失损坏单位财物应予赔偿的<span lang="EN-US">,</span>每月从工资中扣除部分不能超过劳动者当月工资<span lang="EN-US">20%,</span>不能把劳动者的工资扣得一干二净。如果是故意损坏单位财物又是经常发生的<span lang="EN-US">,</span>哪怕是损坏了一些小的东西<span lang="EN-US">,</span>也应当注意<span lang="EN-US">,</span>这些人有危险的倾向<span lang="EN-US">,</span>不得不防<span lang="EN-US">,</span>说不定企业就毁于他的一把火。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30.1pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><strong style="mso-bidi-font-weight: normal"><span style="FONT-FAMILY: 黑体"><font size="3">第七、女职工生育的问题<span lang="EN-US">?<o:p></o:p></span></font></span></strong></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">女职工的生育问题的确会给企业生产和经营带来一些麻烦<span lang="EN-US">,</span>但女工在工作的某些方面<span lang="EN-US">,</span>是男工无法取代的<span lang="EN-US">,</span>所以应当看到长处所在。由于女工承担生育后代社会功能<span lang="EN-US">,</span>企业经营者应给予理解。企业要化解这方面矛盾<span lang="EN-US">,</span>最好给未生育的女工购买生育保险<span lang="EN-US">(</span>它的作用在于女职工生育检查费、接生费、手术费、住院费和药费由生育保险基金支付，超出规定的部分由职工自理；产假期间的生育津贴按本企业上年度职工月平均工资计发，由生育保险基金支付；女职工生育出院后，因生育引起疾病的医疗费也由生育保险基金支付<span lang="EN-US">)</span>或直接招用已生育小孩的女工。不适宜在劳动合同中限制女工的生育时间，如果这样一开始就失去了这个未生育的女工的心<span lang="EN-US">,</span>她认为这个企业没有归属感<span lang="EN-US">,</span>损失的还是企业。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font size="3"><font face="宋体">社会保险分为基本养老险、工伤险、失业险、医疗险、生育险<span lang="EN-US">(</span>目前只针对城镇户口的职工<span lang="EN-US">)</span></font></font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /><span style="mso-spacerun: yes"><font face="宋体" size="3">&nbsp;&nbsp;&nbsp; </font></span></span><font face="宋体" size="3">为员工购买社保是经营者的法定义务<span lang="EN-US">,</span>这可能给企业的经营增加一定的成本<span lang="EN-US">,</span>但长远来算<span lang="EN-US">,</span>还是利远远大于失<span lang="EN-US">,</span>它使员工内心产生对企业的认同感和归属感<span lang="EN-US">,</span>起到至为重要的作用，也是分散工伤风险等有效手段。举一个简单的例子<span lang="EN-US">:</span>拥有<span lang="EN-US">100</span>人的企业为全部的员工购买一年的工伤险的保险费才一万多元<span lang="EN-US">,</span>但如果没有工伤保险的保障<span lang="EN-US">,</span>发生一次工伤事故可能要花几万元甚至几十万元<span lang="EN-US">,</span>还可能官司緾身<span lang="EN-US">,</span>破财未必消灾<span lang="EN-US">,</span>细心算一下<span lang="EN-US">,</span>怎样才划算。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font size="3"><font face="宋体"><span lang="EN-US">1</span>、国有企业、集体所有制企业、股份制企业、股份合作制企业、外商投资企业、机关事业单位、社会团体及其本市城镇户口职工：单位按全部职工缴费基数总和的<span lang="EN-US"> 20% </span>，职工按本人缴费基数的<span lang="EN-US"> 8% </span>，按月缴纳社会养老保险费。</font></font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /></span><font face="宋体" size="3">　　 第二十四条 经劳动合同当事人协商一致，劳动合同可以解除。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /></span><font face="宋体" size="3">　　 根据《劳动法》第二十五条 劳动者有下列情形之一的，用人单位可以解除劳动合同：（一）在试用期间被证明不符合录用条件的；（二）严重违反劳动纪律或者用人单位规章制度的；（三）严重失职，营私舞弊，对用人单位利益造成重大损害的；（四）被依法追究刑事责任的。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /></span><font face="宋体" size="3">　　<span lang="EN-US"> (</span>二<span lang="EN-US">) </span>用人单位支付劳动者的工资报酬低于当地最低工资标准的，要在补足低于标准部分的同时，另外支付相当于低于部分<span lang="EN-US">25%</span>的经济补偿金。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /></span><font face="宋体" size="3">　　<span lang="EN-US"> (</span>三<span lang="EN-US">) </span>经劳动合同当事人协商一致，由用人单位解除劳动合同的，用人单位应根据劳动者在本单位工作年限，每满一年发给相当于一个月工资的经济补偿金，最多不超过十二个月。工作时间不满一年的按一年的标准发给经济补偿金。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /></span><font face="宋体" size="3">　　<span lang="EN-US"> (</span>四<span lang="EN-US">) </span>劳动者患病或者非因工负伤，经劳动鉴定委员会确认不能从事原工作、也不能从事用人单位另行安排的工作而解除劳动合同的，用人单位应按其在本单位的工作年限，每满一年发给相当于一个月工资的经济补偿金，同时还应发给不低于六个月工资的医疗补助费。患重病和绝症的还应增加医疗补助费，患重病的增加部分不低于医疗补助费的百分之五十，患绝症的增加部分不低于医疗补助费的百分之百。</font></p>
<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><span lang="EN-US"><br /></span><font face="宋体" size="3">　　<span lang="EN-US"> (</span>五<span lang="EN-US">) </span>劳动者不能胜任工作，经过培训或者调整工作岗位仍不能胜任工作，由用人单位解除劳动合同的，用人单位应按其在本单位工作的年限，工作时间每满一年，发给相当于一个月工资的经济补偿金，最多不超过十二个月。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">根据《劳动法》第二十二条规定<span lang="EN-US">: </span>劳动合同当事人可以在劳动合同中约定保守用人单位商业秘密的有关事项。但如何确定保护商业秘密条款十分重要<span lang="EN-US">,</span>有些企业已在劳动合同订有保密条款<span lang="EN-US">,</span>但不具体、不明确或过于笼统<span lang="EN-US">,</span>发生纠纷时<span lang="EN-US">,</span>得不到劳动仲裁机构或法院的支持<span lang="EN-US">,</span>失去了法律的有效保护<span lang="EN-US">,</span>如何利用劳动合同保护企业自身的商业秘密<span lang="EN-US">,</span>这恐怕是劳动合同的难题。</font></p>

<p class="a31" style="BACKGROUND: white; MARGIN: auto 0cm; TEXT-INDENT: 30pt; LINE-HEIGHT: 150%; mso-char-indent-count: 2.5"><font face="宋体" size="3">（四）如果该项商业秘密没有在劳动合同和单位规章制度明确的<span lang="EN-US">,</span>而是临时才确定商业秘密的<span lang="EN-US">, </span>在内部公开之前<span lang="EN-US">,</span>还是要签《保密协议》<span lang="EN-US">,</span>明确范围、保密期限及违约责任为好<span lang="EN-US">,</span>不要怕麻烦<span lang="EN-US">,</span>也不要怕伤感情<span lang="EN-US">,</span>如果不防备<span lang="EN-US">,</span>或许就可能有员工利用这个空子。如果有员工违约<span lang="EN-US">,</span>《保密协议》就成了你追究经济损失的依据。</font></p>

<p class="MsoNormal" style="BACKGROUND: white; MARGIN: 0cm 0cm 0pt; TEXT-INDENT: 22.5pt; LINE-HEIGHT: 150%; TEXT-ALIGN: left; mso-pagination: widow-orphan" align="left"><span style="FONT-SIZE: 12pt; COLOR: black; LINE-HEIGHT: 150%; FONT-FAMILY: 宋体; mso-bidi-font-family: 宋体; mso-font-kerning: 0pt">企业限制职工离职后在一定期限内不得自营或为他人经营与原企业构成竞争的业务，其目的是为了最大限度保护自己的商业秘密，维护竞争优势。企业根据《办法》的规定应当支付一定的<span lang="EN-US">&ldquo;</span>补偿费<span lang="EN-US">&ldquo;</span>。但离职后的竞业限制义务与离职后的保密义务是两种性质不同的义务。前者是指不得在离职后一定期限内从事与原企业构成竞争的相同工作（即使具体工作不同，但所在企业与原企业构成同业竞争的也在此列），而后者是指无论是否从事相同工作或职业，对于所知悉的原企业的重要商业秘密都负有不披露不使用的义务。前者并不具体针对原企业的商业秘密，而是限制离职职工选择相同工作或职业的权利，即使职工没有披露或使用原企业商业秘密，只要违反竞业限制条款，仍应当承担相应法律责任。后者直接针对原企业的商业秘密，即使没有违反竞业限制义务，只要有证据表明其泄密，不妨碍企业追究其违反保密义务的法律责任。劳动权利的被限制与补偿费是一种对价关系。商业秘密是企业的无形财产权利，职工在职期间依据企业的保密规定和保密协议，当然负有保密义务。离职后，职工对于企业的一般信息不再负有保密义务，但对企业重要的商业秘密仍然负有保密义务，多数人甚至认为这是一项<span lang="EN-US">&ldquo;</span>默示<span lang="EN-US">&rdquo;</span>义务，即对于企业的重要商业秘密，职工的保密义务不以约定为必要。为了慎重起见，企业往往与有关职工订立合同，对职工离职后若干期限内的保密义务进行约定。但该约定与竞业限制并不是重叠的。企业可以既要求限制竞业，同时要求保密，也可以仅要求保密，不要求限制竞业。对于保密要求，企业不必支付所谓的<span lang="EN-US">&ldquo;</span>保密费<span lang="EN-US">&rdquo;</span>。商业秘密作为企业的一项财产权利，要求职工离职后若干期限内仍然保密，这是天经地义的，这与保护企业其他财产无异。之所以不要求无限期（一般为<span lang="EN-US">2-3</span>年），这纯粹是因为商业秘密本身的特点所致－时间的推移与其秘密性和价值性成反比，而不是别的什么原因。可见，离职后职工在合理期限内承担的保密义务，有约定的属于明示义务，没有约定的，重要商业秘密部分承担默示义务，该义务的承担，企业不必额外支付对价。职工可以以企业没有支付合理的竞业限制补偿费为由拒绝承担竞业限制义务，但不得以企业没有支付<span lang="EN-US">&ldquo;</span>保密费<span lang="EN-US">&rdquo;</span>为由免除自己的保密义务。<span lang="EN-US"><o:p></o:p></span></span></p>
