<title>私募基金和非法集资的界限？</title>

<![CDATA[<p>问：今后我国的私募基金是否需要专门立法？</p>
<p>答：回答这个问题首先要弄清楚设立私募基金所要依赖的法律工具，即私募基金通过何种法律组织形式进行构建。<br />　　投资基金最主要的一个属性，是基金财产必须具有法律上的独立性，即必须独立于基金持有人、基金管理人等基金当事人的自有财产。实践中，信托、投资公司(公司型基金)、有限合伙、实体公司、合同契约、委托代理等，都可以应用于财产管理，但为实现投资基金的&ldquo;破产隔离&rdquo;属性，目前国际上私募基金主要采用以下三种法律组织形式：一是信托型，通过订立信托契约募集资金，因信托财产具有独立性，所构建的私募基金有别于委托人、受托人和受益人的自有财产；二是公司型，它不同于我国现有公司法规定的有限责任公司或股份有限公司，它源于美国《1940年投资公司法》，其特征是公司内部没有高级管理层、经营团队，仅有一个董事会，相当于信托法上的受托人，负责聘请外部基金管理人和基金托管人；三是有限合伙型，它由投资者作为有限合伙人(LP)，以私募基金管理者作为一般合伙人(GP)组成有限合伙企业，投资者出资并对合伙企业负有限责任，管理人在董事会的监督下负责风险投资的具体运作并对有限合伙企业负无限责任。<br />　　从国外情况看，私募基金不需要专门立法，对它的规范散见于信托、公司型基金、有限合伙和证券等方面的法律法规中，类似于民间订合同做买卖的规范。我国目前已经建立了信托和有限合伙制度，为私募基金的运作提供了法律保障。我国既可以效仿境外做法，不对私募基金进行专门立法，通过现有的信托、合伙、证券等法律进行规范；也可以考虑制定专门的私募基金法律，确立私募基金的一般原则，规定私募基金经营机构的市场准入条件，以及私募基金在何种情形下可以转换为公募基金等。<br />　　关键在于建立合格投资者制度<br />　　问：私募基金和非法集资的界限？如果立法，私募基金最需要规范什么内容？<br />　　答：现实中私募基金和非法集资似乎界限不明显，而非法集资的处置也没有一个统一的标准，往往以实际损失作为处理的原则，这给私募基金的发展带来了不利因素。<br />　　从境外情况看，私募基金和非法集资存在明显区别：一是非法集资可能是向社会公众募集资金(公募)，而私募基金顾名思义只能私募。在境外大部分国家，募集资金但凡公募而未经相关部门批准的，不管有没有造成实际损失，都将以公开或变相公开发行证券论处，并受到法律制裁；二是通过私募方式募集资金时，如果只面向合格投资人，即是受法律保护的&ldquo;私募基金&rdquo;。但募集对象一旦超出了合格投资者范围，就将被认定为非法集资。因此，区别私募基金和非法集资的关键在于两点：一是有没有面向公众，二是募集对象是不是囿于合格投资者。<br />　　我国现有法律界定了证券的公开发行。证券法第十一条规定，向不特定对象发行证券、向特定对象发行证券累计超过二百人或法律法规规定的其他发行行为，为公开发行。我国私募基金也应遵守这一规定，如果公开发行或者变相公开发行，就要受到证券法等法律法规的约束和制裁。<br />　　问题的关键在于，目前我国除了信托公司设立的集合资金信托计划外，还没有为私募基金建立起统一的合格投资者制度，这样就模糊了私募基金和非法集资的界限，使民间名为私募实为非法集资的现象时有出现，严重损害了投资者的合法利益。<br />　　从境外情况看，私募基金投资者的要求非常严格，有严格的准入限制。一般要求比较成熟，风险承受能力较强，愿冒风险追求高回报，属于专业投资者(Professional investor)，其主体是机构投资者。据欧洲创业投资协会(EVCA)统计，1998-2002年间欧洲的股权投资基金的投资者主要是养老基金、商业银行、保险公司、政府机构和基金的基金等。美国称私募基金是富人的冒险乐园，其投资者必须是银行、保险、公司等机构。私募基金的投资者为自然人时，通常应当是富有的合格投资者。根据美国《1933年证券法》法规D的规定，合格投资者为自然人时，其个人资产净值或夫妇资产净值总计在其认购时应当超过100万美元；或者其个人收入在最近两年中的每年收入超过20万美元，或者夫妇合计收入在最近两年中的每一年收入超过30万美元，并且合理预期今年(当年)的收入也将达到同样水平。这是从投资者资质对合格投资者作出判断，还有一种方法是从最低认购金额进行判断，如英国规定自然人参与私募基金的最低金额是200万英镑等。<br />　　话说回来，你刚才提到私募基金是否要专门立法的问题。我认为，如何要立法的话，当前最紧迫、最重要的就是要为私募基金建立合格投资者制度。这是私募基金规范发展，也是防范非法集资于未然的关键所在。<br />　　不&ldquo;阳光化&rdquo;前途也光明<br />　　问：最近常听人说到私募基金要阳光化，这种提法合适吗？<br />　　答：我也注意到了相关报道，这种提法与私募基金的属性完全不符，有哗众取宠之嫌，说&ldquo;规范化&rdquo;更准确一些。私募基金的重要特征体现在&ldquo;私&rdquo;字上：一是不面向社会公众推介，只能面向合格投资者；二是不能通过公开途径向社会募集资金；三是不公开向社会披露私募基金的管理信息。如果把私募基金&ldquo;晒&rdquo;到阳光下，我看私募基金就会失去它的特性和优势，或者将转化为公募基金。<br />　　或许有人注意到，随着社会和科技的不断发展进步，境外私募基金的&ldquo;私&rdquo;字的内涵正在发生变化：即私募基金经营机构可以通过网络向社会公众发布基金募集信息，人们也可以通过网络申购私募基金。但其实质未变，私募基金的营销网站都设有密码保护，只有合格投资者才被允许登陆相关页面。<br />　　问：最后问一下，我国私募基金的市场发展前景如何？<br />　　答：我认为，在市场培育初期，公募基金将大行其道。但市场发育到一定程度，而且法规制度相对健全时，私募基金将赶超公募基金。这是私募基金的特点所决定的，因为私募基金在投资对象、资金管理方式、信息披露要求等方面，较公募基金受到的法律约束较少，投资运作没有太多的严格规定和限制，而且因为不需要公开的信息披露、可以选择是否托管等而成本较低。更为重要的是，私募基金作为一种投资服务产品，是面向少数投资者的，更切合投资者的特殊投资需求，可以为投资者量身定制，投向私人股权、证券基金、基础设施、房地产等广泛领域。可以预见，当市场经济实现法治经济时，投资者特别是合格投资者对投资基金的效益追求将不再是公众化和标准化，而是追求个性化和灵活化，而私募基金的发展也将因此前途无量。</p>]]>

<title>创业板企业上市工作4月正式启动</title>

<![CDATA[九年磨一剑。3月21日，中国证监会正式发布《首次公开发行股票并在创业板<span>上市管理办法(征求意见稿)》(以下简称征求意见稿)，就发行条件、发行程序、信息披露、监管与处罚等内容作出明确规定。</span>
<p><span><span><span><span><span>　　&ldquo;创业板将建立投资者风险自担、充分发挥保荐人等中介机构作用的市场化运作机制并通过改进发行审核、单独设立创业板发审委、实施网站信息披露等方式突出创业板市场</span>特色；同时加强信息披露强化市场各方责任防范市场风险。&rdquo;中国证监会</span></span></span>相关部门负责人表示。</span></p>
<p><span><span><span>　　据悉，交易所的技术系统<span>已经准备就绪，在IPO办法正式实施以后，将启动技术系统的联网测试。同时将对保荐机构、会计师事务所、律师事务所等中介机构进行符合创业板规则的相关培训。</span></span></span></span></p>
<p><span><span><span>　　记者了解到，对该意见稿征求意见的工作于3月31日截止。此后创业板</span>企业<span>上市工作将正式启动。</span></span></span></p>
<p><strong>　　两套标准</strong></p>
<p><span><span>　　考虑到创业企业规模小的特点，创业板的标准在主板市场基础上作了较大幅度的降低。同时，考虑到我国资本市场现状和投资者的成熟程度，企业申请在创业板公开发行并上市，仍需达到规定的条件，以保证创业板的风险基本可控。</span></span></p>
<p><span><span><span>　　征求意见稿设计了两套标准，以满足不同类型创业企业的需求。第一套标准是：要求发行人最近两年连续盈利，最近两年净利润累计不少于一千万元，且持续增长。第二套标准是发行人最近一年盈利，且净利润不少于五百万元，最近一年营业收入不少于五千万元，最近两年营业收入增长率均不低于百分之三十。</span></span></span></p>
<p><span><span><span><span>　　&ldquo;其实相对还是很高的，比如定30%的增长性指标，是根据对中小企业板的统计来的，中小企业板是以传统行业为主的中小企业，传统行业一般情况下的营业收入增长速度大体在20%左右，考虑到创业板是高成长性企业，为了体现其高成长性，就提高10%，最后定的30%增长率。&rdquo;上述相关负责人说。</span></span></span></span></p>
<p><span><span>　　江苏一家近期有望冲刺创业板的企业董秘21日也对记者表示，事实上，除了部分条件比主板稍微放开之外，监管部门对于创业板的监管还是非常严格，估计不会在短期内出现一拥而上的局面。</span></span></p>
<p>　　此外，征求意见稿要求发行人具备一定的资产规模，即发行前净资产不少于二千万元，发行后股本不少于三千万元。同时发行人应具有一定的持续经营记录，即应当是依法设立且持续经营三年以上的股份有限公司，有限责任公司按原账面净资产值折股整体变更为股份有限公司的，持续经营时间可以从有限责任公司成立之日起计算。</p>
<p><span><span>　　创业企业规模小，且处于成长发展阶段，如果盲目多元化经营，业务范围过于分散，缺乏核心业务，既不利于有效控制风险，也不利于形成核心竞争力。因此，征求意见稿要求发行人集中有限的资源主要经营一种业务，并强调符合国家产业政策和环境保护政策。同时，要求募集资金只能用于发展主营业务。</span></span></p>
<p>　　征求意见稿还对发行人公司治理提出了从严要求。如要求董事会下设审计委员会，并强化独立董事履职和控股股东责任。发行人应当保持业务、管理层和实际控制人的持续稳定，规定发行人最近两年内主营业务和董事、高级管理人员均没有发生重大变化，实际控制人没有发生变更等。</p>
<p>　　值得注意的是，涉嫌非法证券活动的公司将很难获得相应的发行上市机会。征求意见稿规定，发行人及其股东最近三年内不存在未经法定机关核准，擅自公开或者变相公开发行证券，或者有关违法行为虽然发生在三年前，但目前仍处于持续状态的情形。</p>
<p><strong>　　单设发审委</strong></p>
<p><span><span><span>　　此前&ldquo;两会&rdquo;期间中国证监会相关负责人就曾明确表示，创业板将单设发审委负责发行审核工作。此事在征求意见稿里进一步明确：中国证监会受理申请文件后，由相关职能部门对发行人的申请文件进行初审，并由创业板发行审核委员会审核。</span></span></span></p>
<p><span><span><span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span></span></span></p>
<p><span>　　&ldquo;这有两个方面的考虑因素，一是现有的主板发审委员忙不过来，二是主板和创业<span>板在财务指标和稳定性方面以及新经济<span>、新商业模式认定等方面还是有差距，普遍规模小、风险大、创新特点强，需要行业专家提供专业的意见。&rdquo;上述证监会相关部门负责人说，现在正酝酿专家委员名单。</span></span></span></p>
<p><span><span>　　据悉，创业板发审委人数设置将是35人，较主板发审委的25人适当增加，如果一单需要七个委员，则一天可同时审核五单。同时加大了行业专家委员的比例，委员与主板发审委委员互不兼任。相关内容将在修订后的《中国证券监督管理委员会发行审核委员会办法》中得到体现。</span></span></p>
<p><span><span>　　此前市场流传的消息是，除了创业板发审委，还将设立创业板咨询委员会。由35人组成的创业板咨询委员会将由深交所负责聘任，委员产生自国家部委、行业协会、科研机构和大专院校等。</span></span></p>
<p><span>　　传言还称，创业板咨询委员会委员没有表决权，他们的专业咨询意见对审核工作不具有约束性。深交所将负责创业板咨询委员会事务的日常管理以及其委员的考核和监督，同时，深交所受证监会委托，对创业板发审委的日常事务进行管理和对其委员的考核和监督。</span></p>
<p>　　但3月21日记者了解到的情况是,设咨询委员会是最初的设想，征求意见稿中并无这一论述。</p>
<p><strong>　　保荐代表人可同时签多单</strong></p>
<p><span><span>　　创业板进一步突出了保荐人的作用，加大市场约束。比如强化保荐人的尽职调查和审慎推荐作用，在企业成长性、自主创新方面，要求保荐人出具专项意见；在持续督导方面，要求保荐人督促企业合规运作，真实、准确、完整、及时地披露信息，督导发行人持续履行各项承诺，并要求保荐人对发行人发布的定期公告撰写跟踪报告。</span></span></p>
<p><span><span><span>　　&ldquo;创业板的企业既然是成长型的中小企业，保荐机构在做材料的时候是和主板不同的，增加了一个对成长性的尽职调查的表述，比如新的经济模式、新的商业模式如何表述其特点、风险等等。&rdquo;上述证监会相关部门负责人说。</span></span></span></p>
<p><span><span>　　对于创业板企业的保荐期限，在主板两年的基础上有适当延长，要求保荐人在发行人上市后三个会计年度内履行持续督导责任。这是&ldquo;维护市场稳定的监管需要&rdquo;。</span></span></p>
<p><span>　　另外与主板不同的是，创业板的保荐制度放宽了对保荐代表人签字的限制，主板的规定是两人共签一单且每人同时只能签一单，而创业板虽然也是两人共签一单，但每人同时可根据自己的情况签多单。</span></p>
<p><span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; 关于保荐的相关内容将纳入修订后的《证券发行上市保荐业务管理办法》及交易所对创业板保荐人的相关管理规则。</span></p>
<p><strong>　　初期&ldquo;批量&rdquo;上市</strong></p>
<p>　　&ldquo;维护市场稳定，防止上市首日爆炒是我们考虑的重中之重。因此创业板推出初期对企业打算批量上市，从供求关系方面来解决。&rdquo;上述证监会相关部门负责人说，这个&ldquo;批量&rdquo;没有确定的数字，将视具体的企业情况来定。</p>
<p>　　实际上，中小企业板在2004年5月28日推出当日批准了8家企业上市，数量虽然不大，但也属于&ldquo;批量&rdquo;，因此创业板首批企业的上市也很有可能参考中小板的做法。</p>
<p>　　目前创业板的上市资源储备充足。深交所曾成立很多小组到各个地区、各个省，尤其是科技园区进行培育上市资源，目前手里已经有了一批企业资源，大概有200家左右。这些企业有多少家能报材料还不确定，而且也不一定都能上创业板，除符合必须的财务指标外，还要符合一些定性指标。</p>
<p>　　为了维护创业板推出初期的市场稳定，监管层还将对交易机制进行相应改进，同时加大打击违规的力度。</p>
<p>　　值得注意的是，并不是所有的投资者都能投资创业板，有一定的门槛限制。比如在交易规模、最低交易手数等方面将有比主板更高的准入条件，在投资创业板之前要签订相关风险等协议。</p>
<p>　　与此同时，创业板还将设置单独的市场监控系统。信息披露方面也较主板有所改变，即借鉴欧洲尤其是AIM市场经验，加强及时性，增加网站实时披露，可能设定证监会、交易所或者上市公司网站等相关网站为指定信息披露网站。</p>
<p>　　退市方面的规定也比主板更加强化更加严格，退市率比主板要高一些，此方面的具体规定将在下一步的规则里体现。</p>
<p>　　&ldquo;根本原因是两个，一是现在投资者结构还不合理，还不是以机构投资者为主体的市场，所以存在影响市场稳定性的潜在风险因素，所以要提高上市公司准入门槛；二是因为企业本身的稳定性差，风险比较大，所以只能是优中选优，同时给投资者设置门槛，有相当的风险承受能力的投资者才能进来。&rdquo;上述证监会相关部门负责人说。</p>
<p>　　另据记者了解，从海外创业板市场的行业配比情况来看，高科技行业占较大的比重，例如位于美国的纳斯达克市场行业分类中，计算机行业的市值高达42%，韩国科斯达克市场中，电子行业约占15%。</p>
<p>　　根据海外创业板市场推出后的历史走势，联合证券分析师戴爽认为，对于创业板市场推出后进一步分流资产的担心是多余的，&ldquo;从历史情况来看，尽管在创业板最初推出的短时间内各相应主板市场的情况涨跌不一，但是从长期来看，主板市场的代表指数大都是呈现上涨的态势。&rdquo;</p>

<p style="LINE-HEIGHT: 180%" xmlns="http://www.w3.org/1999/xhtml">各省、自治区、直辖市人民政府，国务院各部委、各直属机构：<span xmlns="" lang="EN-US"><br /></span>　　改革开放以来，国家对原有的投资体制进行了一系列改革，打破了传统计划经济体制下高度集中的投资管理模式，初步形成了投资主体多元化、资金来源多渠道、投资方式多样化、项目建设市场化的新格局。但是，现行的投资体制还存在不少问题，特别是企业的投资决策权没有完全落实，市场配置资源的基础性作用尚未得到充分发挥，政府投资决策的科学化、民主化水平需要进一步提高，投资宏观调控和监管的有效性需要增强。为此，国务院决定进一步深化投资体制改革。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; </span>一、深化投资体制改革的指导思想和目标<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>一<span xmlns="" lang="EN-US">)</span>深化投资体制改革的指导思想是：按照完善社会主义市场经济体制的要求，在国家宏观调控下充分发挥市场配置资源的基础性作用，确立企业在投资活动中的主体地位，规范政府投资行为，保护投资者的合法权益，营造有利于各类投资主体公平、有序竞争的市场环境，促进生产要素的合理流动和有效配置，优化投资结构，提高投资效益，推动经济协调发展和社会全面进步。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>二<span xmlns="" lang="EN-US">)</span>深化投资体制改革的目标是：改革政府对企业投资的管理制度，按照&ldquo;谁投资、谁决策、谁收益、谁承担风险&rdquo;的原则，落实企业投资自主权；合理界定政府投资职能，提高投资决策的科学化、民主化水平，建立投资决策责任追究制度；进一步拓宽项目融资渠道，发展多种融资方式；培育规范的投资中介服务组织，加强行业自律，促进公平竞争；健全投资宏观调控体系，改进调控方式，完善调控手段；加快投资领域的立法进程；加强投资监管，维护规范的投资和建设市场秩序。通过深化改革和扩大开放，最终建立起市场引导投资、企业自主决策、银行独立审贷、融资方式多样、中介服务规范、宏观调控有效的新型投资体制。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; </span>二、转变政府管理职能，确立企业的投资主体地位<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>一<span xmlns="" lang="EN-US">)</span>改革项目审批制度，落实企业投资自主权。彻底改革现行不分投资主体、不分资金来源、不分项目性质，一律按投资规模大小分别由各级政府及有关部门审批的企业投资管理办法。对于企业不使用政府投资建设的项目，一律不再实行审批制，区别不同情况实行核准制和备案制。其中，政府仅对重大项目和限制类项目从维护社会公共利益角度进行核准，其他项目无论规模大小，均改为备案制，项目的市场前景、经济效益、资金来源和产品技术方案等均由企业自主决策、自担风险，并依法办理环境保护、土地使用、资源利用、安全生产、城市规划等许可手续和减免税确认手续。对于企业使用政府补助、转贷、贴息投资建设的项目，政府只审批资金申请报告。各地区、各部门要相应改进管理办法，规范管理行为，不得以任何名义截留下放给企业的投资决策权利。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>二<span xmlns="" lang="EN-US">)</span>规范政府核准制。要严格限定实行政府核准制的范围，并根据变化的情况适时调整。《政府核准的投资项目目录》<span xmlns="" lang="EN-US">(</span>以下简称《目录》<span xmlns="" lang="EN-US">)</span>由国务院投资主管部门会同有关部门研究提出，报国务院批准后实施。未经国务院批准，各地区、各部门不得擅自增减《目录》规定的范围。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; </span>企业投资建设实行核准制的项目，仅需向政府提交项目申请报告，不再经过批准项目建议书、可行性研究报告和开工报告的程序。政府对企业提交的项目申请报告，主要从维护经济安全、合理开发利用资源、保护生态环境、优化重大布局、保障公共利益、防止出现垄断等方面进行核准。对于外商投资项目，政府还要从市场准入、资本项目管理等方面进行核准。政府有关部门要制定严格规范的核准制度，明确核准的范围、内容、申报程序和办理时限，并向社会公布，提高办事效率，增强透明度。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>三<span xmlns="" lang="EN-US">)</span>健全备案制。对于《目录》以外的企业投资项目，实行备案制，除国家另有规定外，由企业按照属地原则向地方政府投资主管部门备案。备案制的具体实施办法由省级人民政府自行制定。国务院投资主管部门要对备案工作加强指导和监督，防止以备案的名义变相审批。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>四<span xmlns="" lang="EN-US">)</span>扩大大型企业集团的投资决策权。基本建立现代企业制度的特大型企业集团，投资建设《目录》内的项目，可以按项目单独申报核准，也可编制中长期发展建设规划，规划经国务院或国务院投资主管部门批准后，规划中属于《目录》内的项目不再另行申报核准，只须办理备案手续。企业集团要及时向国务院有关部门报告规划执行和项目建设情况。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>五<span xmlns="" lang="EN-US">)</span>鼓励社会投资。放宽社会资本的投资领域，允许社会资本进入法律法规未禁入的基础设施、公用事业及其他行业和领域。逐步理顺公共产品价格，通过注入资本金、贷款贴息、税收优惠等措施，鼓励和引导社会资本以独资、合资、合作、联营、项目融资等方式，参与经营性的公益事业、基础设施项目建设。对于涉及国家垄断资源开发利用、需要统一规划布局的项目，政府在确定建设规划后，可向社会公开招标选定项目业主。鼓励和支持有条件的各种所有制企业进行境外投资。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>六<span xmlns="" lang="EN-US">)</span>进一步拓宽企业投资项目的融资渠道。允许各类企业以股权融资方式筹集投资资金，逐步建立起多种募集方式相互补充的多层次资本市场。经国务院投资主管部门和证券监管机构批准，选择一些收益稳定的基础设施项目进行试点，通过公开发行股票、可转换债券等方式筹集建设资金。在严格防范风险的前提下，改革企业债券发行管理制度，扩大企业债券发行规模，增加企业债券品种。按照市场化原则改进和完善银行的固定资产贷款审批和相应的风险管理制度，运用银团贷款、融资租赁、项目融资、财务顾问等多种业务方式，支持项目建设。允许各种所有制企业按照有关规定申请使用国外贷款。制定相关法规，组织建立中小企业融资和信用担保体系，鼓励银行和各类合格担保机构对项目融资的担保方式进行研究创新，采取多种形式增强担保机构资本实力，推动设立中小企业投资公司，建立和完善创业投资机制。规范发展各类投资基金。鼓励和促进保险资金间接投资基础设施和重点建设工程项目。<span xmlns="" lang="EN-US"><br />&nbsp;&nbsp;&nbsp; (</span>七<span xmlns="" lang="EN-US">)</span>规范企业投资行为。各类企业都应严格遵守国土资源、环境保护、安全生产、城市规划等法律法规，严格执行产业政策和行业准入标准，不得投资建设国家禁止发展的项目；应诚信守法，维护公共利益，确保工程质量，提高投资效益。国有和国有控股企业
