1. XXXX/I or the Regional Franchisee Company (if any) and the franchisees shall agree upon sales volume targets for the Travel Services Providers of the Centrally Determined Product Collection. These sales volume targets shall constitute the basis for the chain commission agreements with the respective Travel Services Providers. These sales volume targets shall be set once a year
jointly by XXXX/I, the applicable Regional Franchisee Company, the Franchisee
and the Travel Services Providers, taking into consideration past sales volume figures and existing growth potentials. The Franchisee shall use its best efforts to achieve these sales volume targets. If the Franchisee fails two (2) years in a row to reach the applicable sales volume targets by more than ten percent (XX%), and this failure is not due to the loss of a major customer (corporate customer) or to a change in the product policy of the Travel Services Providers, XXXX/I shall have the right to issue a warning to the Franchisee, and after having heard the Advisory Board (International), to terminate this Umbrella Agreement and the Location Agreement(s) without notice, if the Franchisee fails to reach the agreed sales volume target the following year.
2. The Franchisee agrees in any case to promote particularly the sales of Lufthansa and its Star Alliance partners.
3. Upon conclusion of the Umbrella Agreement, the Franchisee shall disclose to XXXX/I any existing individual commission agreement(s) with Travel Services Providers of the Centrally Determined Product Collection.
4. In the interest of the entire system and of all franchisees, the Franchisee may not negotiate separate commission agreements with Travel Services Providers in view of its having concluded this comprehensive Umbrella Agreement with XXXX/I or a comprehensive agreement with its respective Regional Franchisee Company.
5. Also in the interest of the entire system and of all franchisees, after conclusion
of this Umbrella Agreement, the Franchisee may only enter into chain commission agreements with the Travel Services Providers of the Centrally Determined Product Collection solely on the basis of the respective chain commission agreement between the Travel Services Providers and ¨C in some countries ¨C the respective Regional Franchisee Company or ¨C in the case of international agreements - the XXXX/I; unless the respective Regional Franchisee Company or XXXX/I has given its respective express prior consent to an individual chain commission agreement. The Franchisee hereby approves in advance the chain commission agreements between XXXX/I and Lufthansa and the Star Alliance airlines to the extent that they are applicable to the Franchisee. Such chain commission agreements shall be concluded with the Travel Services Providers of the Centrally Determined Product Collection if the franchisees are in a position to transform them into reality in their respective market and generally benefit from them.
6. Payments by Lufthansa, the Star Alliance airlines and the Travel Services Providers of the Centrally Determined Product Collection under XXXX/YYYY chain commission agreements shall be made directly to XXXX/I or to the Regional Franchisee Company if XXXX/I so instructs. The total amount shall benefit the franchisees as follows: part of this amount shall be distributed directly to each of the franchisees, while the rest shall be used to improve the franchise system. If possible, the amount directly distributed to the Franchisee shall be calculated on the basis of the usual average provision for a travel agency of comparable size to the Franchisee. XXXX/I shall report to the Advisory Board (International) about the application of the funds. The distribution procedure for the amounts to
be distributed shall be determined by XXXX/I after consultation with the
Advisory Board (International). The distribution procedure shall contain an hedging component for the Franchisee, and pass the performance incentive of XXXX/YYYY chain commission agreement to the Franchisee through a merit pricing system. The amount to be distributed shall be credited to the Partner Account (Exhibit 7).
7. The Franchisee may go outside of the Centrally Determined Product Collection of XXXX/I and conclude its own separate bonus agreements with the Travel Services Providers as defined in ¡ì 1 Paragraph 1, sub-Paragraph (m) or with other travel services providers. Such separate bonus agreements may not jeopardize the objective of the central distribution control system contemplated in this Umbrella Agreement. The Franchisee may not participate in any other distribution control system.
8. The Franchisee shall be fully liable for the loss of any chain commissions incurred by Lufthansa, the Star Alliance and the Travel Services Providers of the Centrally Determined Product Collection, and consequently by the XXXX/I network of travel agencies, which loss is caused by the Franchisee's failure to follow the sales procedures established by the Travel Services Providers (e.g. correct tariff application, correct designation of sales origin, etc.) or by an undue transfer of sales by the Franchisee to a territory not covered by XXXX/YYYY chain commission agreement.

被许可方应尽全力实现这些销量指标。如果被许可方连续两年未能达到有关适用的销量指标的百分之??（??%）以上，且这并不是由于失去主要客户（公司客户）或旅行服务供应商产品政策变化而造成的，AAAAA国际应有权向被许可方提出警告。如果被许可方在下一年度仍旧没有达到销量指标，AAAAA国际在听取国际顾问委员会的意见后，有权在不需通知的情况下，终止本一揽子协议及其代理点协议。
2. 被许可方同意在一切情况下推动，特别是AAAAA和其BBBBB伙伴的产品销售。
3. 本一揽子协议一经签署，被许可方应向AAAAA国际披露任何现有的其与总部确定产品系列旅行服务供应商之间的单独佣金协议。
4. 出于整个系统和所有被许可方的利益，被许可方不得在已经与AAAAA国际签署了此一揽子综合性协议或与各地区被许可方公司签署了综合性协议后再与旅行服务供应商谈判单独佣金协议。
5. 同样，出于整个系统和所有被许可方的利益，在此一揽子协议签署后，被许可方只能以某些国家各地区被许可方公司的旅行服务供应商之间，在某些国家，各地区被许可方公司之间的各自连锁佣金协议为依据与总部确定品系列旅行服务供应商签订连锁佣金协议。对于国际协议书，除非各地区被许可方公司或AAAAA国际已经事先明确同意其签署一份单独的连锁佣金协议外，否则由AAAAA国际签署协议书。被许可方于此提前同意和批准AAAAA国际和AAAAA以及BBBBB航空公司之间签订的连锁佣金协议，也适用于被许可方。如被许可方欲将其付之现实的市场并从中获益，则其应与总部确定产品系列的旅行服务供应商签署该连锁佣金协议。
6. 在AAAAA国际的连锁佣金协议下，由AAAAA、BBBBB航空公司和总部确定产品系列旅行服务供应商支付的款项应直接支付给AAAAA国际或按AAAAA国际指示，支付给地区被许可方公司。价款总额将以如下方式使被许可方受益；部分价款应直接分配给每一个被许可方，剩余部分应被用以改善特许系统。如果可能，直接分配给被许可方的价款应根据与其规模相近的旅行代理通常情况下的平均收益加以计算。AAAAA国际应向国际顾问委员会就资金的运用作出报告。用以分配的价款分配程序应在与国际顾问委员会咨询后由AAAAA国际决定。该分配程序应包含对被许可方的保护措施，并通过指数价格系统将AAAAA国际的连锁佣金协议中的表现奖励转至被许可方。用以分配的价款应付至合作伙伴帐户（附件7）。
7. 被许可方在AAAAA国际的总部决定的产品系列之外与第一章第1段第(m)项定义的旅行服务供应商或其它旅行服务供应商签署单独的奖金协议。该单独的奖金协议不能损害本一揽子协议所预期的总部分销控制体系的目标。被许可方不得参加其它分销控制体系。
8. 被许可方应对任何由于其未能遵守旅行服务供应商所订立的销售程序（如正确的关税申请和正确确认销售产地的要求等）或由于被许可方向AAAAA国际的连锁佣金协议范围之外币的地区进行不合理的销售转移而引起的AAAAA、BBBBB和总部确定产品系列旅行服务供应商所遭受的连锁佣金损失负全部责任。
Contractor shall supply conductivity type boiler drum level indicator based on conductivity discrimination principle between water and steam.
Instrument shall be complete with its local and remote indicators, isolation valves, drain & vent vales, special cable, probes etc. Remote indicator shall be installed on BTG panel in central control room.
Field instruments shall be suitable for area in which these are located. In general field instruments shall be weatherproof, dust tight and corrosion resistant with protection class IP-65. Field instruments shall be suitably grouped or clustered area-wise and shall be terminated in local junction boxes.
All the Process Transmitters shall be 2-wire smart type with facility for remote calibration. These shall support international field bus. Transmitters shall also have 4-20 mA DC output with driving capacity upto 500 ohms. Transmitters shall be properly grouped and mounted in transmitter enclosure to be placed at suitable locations.
Process gauges shall be provided for local indication, trial run and testing of various equipment. Local Gauge boards shall be provided for operator convenience. Each vessel shall be provided with direct level gauges to monitor the level locally. All pump pressure gauges at discharge and suction line, where pressure variation is more, the pressure gauges shall be oil or glycerin filled type.
All temperature elements shall be of duplex type with thermowell. Depending on temperature ranges, Pt-100 Resistance Temperature Detector (RTD) and thermocouple of type J and K (ISA standard) shall be used. For low temperature zone having vibration, J-type thermocouples shall be used where as in other low temperature application upto 400 deg.C, RTD shall be used. For higher temperature K-type thermocouples shall be used. Metal temperature thermocouples shall be used for drum and super heater and re-heater. Cold junction compensation should be applied for thermocouple measurements.
For critical alarm and protection/interlock functions, direct process switches shall be used for better reliability. Switches shall be blind type. All switch elements shall be snap acting and shock proof type.
For the measurement of flow for clean fluids, concentric square edge orifice plates shall be provided. For high pressure fluid lines having nominal size
Response time of the final control elements shall be carefully considered vis-a-vis the process dynamic requirement during selection of the type of final control element.
a) In general, Pneumatic Power Cylinders for control dampers and diaphragm operated Control Valves shall be envisaged for control purpose.
b) For system like Governing Control, Steam Bypass Control etc. hydraulically controlled final control element shall be used to match the dynamic response of the plant.
c) For isolating and inching services, electric actuators shall be provided unless fast response is required.
d) For fast trip applications like fuel oil shut off valve etc. solenoid operated pneumatic trip valve shall be used.
All the final control elements shall be complete with suitable smart positioners, Air lock Valve, Position transmitters, I/P Converters, Limit Switches, and hand wheel etc., as required for the operation of the plant.
4. 蒸汽鼓桶电子水位指示器（EWLI）

5.0 现场仪表，分析仪，监视仪表
5.1 现场仪表
现场仪表应该适用于安装现场的环境工作条件。一般的情况，现场仪表应该采用防气候，防尘和防腐蚀形式的仪表，并且具有IP-65的防护等级。现场仪表应该适用于组合安装，或者成批地在使用场所进行安装，并且通过本地接线盒进行接线。
5.2 过程发送器
所有的过程发送器应该采用2线制的灵敏型的发送器，并且具有遥控标定器件。发送器应该适用于国际标准的现场母线。发送器应该具有4－20毫安的输出，能够驱动500欧姆的负载。发送器应该安装在组合安装的，并且放置在适当地点的发送器控制屏上。
5.3 过程压力计
承包商应该提供各种设备的本地指示器，试运行和试验要求的过程压力计。为了操作人员的操作方便，承包商应该提供本地压力计仪表盘。每个容器应该配置直读式的压力计来监视局部的应力。所有的泵应该在排放管道和吸入管道配置压力计，以便监视应力的变化。这些压力计应该采用充油压力计，或者充甘油的压力计。
5.4 温度传感器
所有的温度传感器元件应该为带热井的双重传感元件。根据不同的温度测量范围，可以采用PT-100的电阻温度探测器和J和K型（ISA标准）的热电偶。在存在震动的低温区域，可以使用J型的热电偶，而在其他的温度低于400℃的低温区域则可以使用电阻温度探测器。对于更高的温度区域应该使用K型的热电偶。在蒸汽鼓桶、过热加热器和再加热器中应该使用金属温度检测热电偶。在使用热电偶测量温度的时候，应该采用冷结补偿。
5.5 过程开关
为了提高运行的可靠性，对于关键的报警和保护/联锁功能，应该使用直接过程开关。过程开关应该采用封闭形式，所有的开关元件应该具有快速动作结构，并且采用防震动形式。
5.6 流量测量仪表
为了测量清洁流体的流量应该提供同心的方形测量孔板。对于名义直径在100毫米以上的高压流体管道中的流体测量应该采用喷嘴。油的流量测量可以采用正位移流量计，或者科里奥利（coriolis ）型的流量计。测量空气流量 可以采用风板型/ annubars/文丘里管( venturis )形式的流量计。所有的流量计元件的计算。设计和结构应该符合英国标准（BS）/美国机械工程师协会（ASME）的标准。在要求的时候，流量计的信号还应该具有应力和温度补偿。
5.7 最终控制元件
应该考虑到最终控制元件的响应时间对于在选择最终控制元件的过程中的过程动态要求。
e) 通常，应该提供控制节气阀的气缸和和膜片操作的控制阀，作为控制器件。
f) 对于诸如调节控制系统。蒸汽旁路控制系统等应该采用液压控制的最终控制元件，以便和机组的动态响应匹配。
g) 除非要求快速响应，否则对于隔离和寸动操作，应该提供电气执行机构。
h) 对于快速脱扣操作（例如燃料油断流阀等的脱扣操作）应该提供电磁阀操作的脱扣阀门。
所有的最终控制元件应该配置适当的智能定位器、空气联锁阀门、位置发送器，积分/比例转换器、限位开关和手轮等，以便对机组进行操作。
根据在发生电源/气源故障的时候对机组的要求，最终控制元件的设计应该保证它们能够停留在工作/开启位置。
5.8 蒸汽和水分析系统（SWAS）
蒸汽和水分析系统（SWAS）的设计应该保证在发电厂运行周期的过程中的关键的地点对蒸汽和水进行持续监视。
蒸汽和水分析系统（SWAS）应该包括下列的取样和测量内容：
2. 乙方委托甲方代为加工其他厂家的纸箱，须另外支付版模费，合同终止时甲方将版模退还乙方；版模费不退，具体内容详见双方订立的有关版模费的附协议。
3. 若乙方不能按合同约定的期限准时付款，甲方有权单方面解除或终止合同，并向乙方收取违约金，每日按乙方逾期付款金额的万分之四累计。
4. 如果乙方未能按照订单约定提取货物或者逾期未发送交货通知的，乙方须支付甲方仓储费用，每逾期一天支付货款金额的万分之四，超过15日的，甲方有权解除合同并要求乙方赔偿由此造成的一切损失。
5. 不可抗力条款：在合同规定的履行期限内，由于不可抗力致使加工物毁损、灭失的，甲乙双方在经有关部门证明后，可免予承担违约责任。
6. 乙方委托甲方进行纸箱加工业务，乙方应保证所提供的商标、图标、图形、图案、文字属于乙方所有，甲方对商标、图标、图形、图案、文字的印刷不会侵犯第三方的知识产权。任何第三方对甲方的加工行为提出知识产权侵权指控或者索赔要求的，甲方因此而遭受的所有损失（包括但不限于诉讼费、律师费等）均由乙方承担。
1. In the event Party B entrusts Party A to produce paper carton for its own, Party B is required to provide Party A with its trademark registration certificate; in the event Party B entrusts Party A to produce paper carton for others, Party B shall provide the trademark registration certificate of others and the written entrustment letter; otherwise, all legal consequences arising from such shall be borne by Party B, and Party A is absolutely free from such.
2. In the case Party B entrusts Party A to produce paper carton for others, Party B shall pay the print plate fee, and Party A will return the print plate to Party B upon termination of contract; the print plate fee collected is unrefundable, for details, please refer to the supplementary agreement on print plate fees concluded by both parties.
3. In the event Party B is unable to make the payment before the deadline scheduled in this Contract, Party A has the right to dissolve or terminate this Contract unilaterally; in such case, Party A has the right to charge Party B a sum of fine for breach of contract calculated at the rate of 4/10,000 of the sum overdue per day.
4. In the event Party B fails to pick up the goods before the deadline set forth in the order or does not send a notice for goods delivery before the scheduled time, Party B is required to pay Party A the warehousing expense calculated at the rate of 4/10,000 of the payment for goods; if the overdue is more than 15 days, Party A has the right to dissolve this Contract and claim Party B to recover any/all losses arising from such.
5. Force majeure: in the event of any damages or missing to the processed goods due to a force majeure event during the performance period as provided for in this Contract, Party A and Party B may be exempted from liabilities for breach of contract once it is proved by relevant departments.
6. When Party B entrusts Party A to carry out paper carton processing service, Party B shall guarantee that the trademark, icon, graphics, pattern design and literals provided to Party A all are the property of Party B, and the print of such trademark, icon, graphics, pattern design and literals will not infringe upon the intellectual property rights of a third party. Party B shall indemnify and hold harmless Party A against and from all claims, damages, losses and expenses (including but not limited to legal cost and attorney fees) in respect of intellectual property right infringement charge and claim to Party A's processing action claimed by a third party.

]]>本着互惠互利、共同发展的原则，为建立长期合作关系，确保采购产品能够及时批量供货并保证质量，甲乙双方经充分友好协商，共同订立如下采购框架协议。
第一条 采购产品
1.1 乙方按照本协议及其附件的约定，按时、按质、按量向甲方提供采购产品、备品备件及相关技术服务。
1.2 采购产品清单见附件1。
第二条 订货程序
2.1 采购订单:在本协议基础上，甲方向乙方采购产品均应发送采购订单。采购订单是乙方发货、甲方收货和双方结算的依据，是本协议不可分割的一部分。甲方采购产品的数量、规格、型号及其它信息均以采购订单及其附件的记载为准。由甲方以书面形式确认授权代表，乙方不得接受甲方任何人员其它任何形式的采购请求。
2.2 采购订单的拟订：采购订单由甲方根据甲方的需要拟订，并加盖订单确认章。
2.3 双方按以下方式确认采购订单：甲方将签字盖章的采购订单通过传真或电子邮件形式通知乙方，乙方应当于收到订单后三（3）个工作日内对收到的订单予以确认，并将确认的订单加盖________章通过传真或电子邮件回传给甲方。如果乙方未在前述期限内确认采购订单，则该采购订单应被视为不被接受。
双方的指定印鉴留样见本协议附件3，如相关信息发生变更，变更方应当书面通知另一方。
第十二条 不可抗力
如果本协议的任何一方由于受到不可抗力事件的影响而不能履行或完全履行或按时履行其在本协议项下的全部或任何部分义务，则其应当被免于履行或完全履行相关义务，或将相关义务的履行期限相应推迟到该不可抗力事件的影响消除之后。为本协议目的，不可抗力系指受到其影响的协议一方（以下称受影响方）不能预见、不能避免并不能克服的客观情况，包括地震、台风、水灾、火灾、战争、动乱、禁运、暴动、疫病、意外事故和任何将来的法律法规命令及其他的政府行为。
受影响方应在不可抗力发生后尽可能短的时间内以在当时情况下能使用的最快捷的书面方式通知另一方。在该不可抗力持续期间，受影响方应向另一方及时提供有关该不可抗力的任何变化、发展、或其他有关信息的定期补充书面通知，并在不可抗力事件结束后立即书面通知另一方。
受影响方应采取一切合理措施减少不可抗力事件所造成的损失或损害。
若上述不可抗力事件持续30天以上，各方应商讨不可抗力事件对本协议的履行所造成的影响，并通过协商决定是否终止本协议，或放弃本协议的某些契约性义务，或延期履行本协议。
This Agreement is made by and between Party A and B first written above through friendly consultation, on the basis of mutual benefit and common progress, for the purposes of the establishment of long-term cooperation, timely and batch supply of the purchased products while ensuring their high quality, as follows:
1. Purchased products
1.1 Party B agrees to supply the purchased products, spare parts and related technical services on time, according to quality and quantity in accordance of this Agreement and appendices attached to it.
1.2 See Appendix 1 for details of the list of purchased products.
2. Purchase order placement
2.1 Purchase order: all purchases of products from Party B by Party A shall be made on purchase order, in addition to the provisions set forth in this Agreement. A purchase order functions as the basis/evidence for Party B to make a delivery, Party A to receive the purchased goods and settlement between the both, and constitutes an integral part of this Agreement. The quantity, specification, model and other information relating to the purchased products by Party A noted in the purchase order and appendix shall always prevail. Party B shall not accept any request for purchase by any persons of Party A made in any forms except for the only person authorized as Party A’s representative appointed by Party A in written form.
2.2 The preparation of a purchase order: the purchase order is prepared by Party A according to its actual need, and Party A confirms it with a confirmation stamp affixed to it.
2.3 Both parties make final confirmation on the purchase order in way of: Party A informs Party B of its endorsed and sealed purchase order via fax or email, in response Party B confirms the received purchase order within three (3) working days upon receiving it, then returns the confirmed purchase order affixed with ________ stamp to Party A through fax or email. In case Party B fails to confirm the purchase order before the deadline set forth in the preceding paragraph, the purchase order is deemed as unaccepted.
See Appendix 3 to this Agreement for the reserved stamps/signatures of both parties; whenever there is a change in such related information, the party who made such change shall made it known to other party in written form.
12. Force Majeure
In the event either of the parties to this Agreement is prevented from performing or performing the whole or on time its obligations under this Agreement in whole or any parts thereinto in case of suffering from or being affected by a force majeure event, then such party may be exempted from performing the related obligations in full or any parts thereinto, or to be postponed to perform such obligations after the force majeure event affection is eliminated. For the purpose of this Agreement, “force majeure” means events not foreseeable, unpreventable and unavoidable by the party affected (hereinafter referred to as “the affected party”), including but not limited to earthquake, typhoon, flood, war, disturbance, embargo, rebellion, epidemic disease, contingencies as well as any law/regulation/order and other governmental actions.
The affected party shall inform the other party of the force majeure event in written form at the earliest time with the fastest way allowable at the time when such force majeure takes place. During the existence of such force majeure, the affected party shall timely deliver regular written notice to the other party telling the change, progress and other information relating to such force majeure, and forthwith inform the other party of the ending of such force majeure when it is ended.
The affected party shall proactively take any measures deemed reasonable to minimize the losses and damages arising from such force majeure.
In the event the aforesaid force majeure lasts for more than thirty (30) days, both parties to this Agreement shall come together to discuss the impacts imposed to the performance of this Agreement by the force majeure to decide through friendly consultation if this Agreement is terminated, or some obligations set forth in this Agreement are abandoned, or the performance of this Agreement is postponed.
