Claim (iii) is not based on specific terms of the LTA. Rather, the actual damages claim is
based upon relevant civil law principle under the Japan Civil Code, e.g., Article XX. In other
words, the Claimant does not seek to "enforce the LTA by its terms." Therefore, the tribunal
does not believe that the res judicata effect of the original award with respect to the declarative
relief precludes the Claimant from rasing this claim in the current arbitration. The respondent
seems to argue that, due to Section AA.B, paragraph 6, the Claimant should be precluded from
introducing any 'damages' claim. As noted, that paragraph reads  " ... after the end of July,
1998, it seems unfair to allow Claimant to continue to claim damages suffered by it."
Nevertheless, it should be noted that such paragraph constitutes at most the 'reason for the
award," which does not generate any res judicata effect. It is true that, in determining the
scope of res judicata effect of the conclusive text, an adjudicator (whether a judge or an
arbitrator) may take into account the reason for that conclusion. However, this does not mean
that the reason for that conclusion should be broadly interpreted or that, more fundamentally,
the reason itself generates res judicata effect.

In addition, it seemsunclear whether this sentence (Section AA.B, paragraph 6) constitutes the reason for the award or simply a dictum. This sentence does not explicitly provide for any legal basis under the Japanese law to make a damages claim (covering the contractual period after 31 July 1998) 'unfair.' Nor did this sentence specify what types of 'damages' (liquidated or actual) claims are unfair. In the view of the current tribunal, the fact that a certain claim is 'seemingly unfair' alone does not constitute a 'reason' to reject such claim under the Japanese law. Therefore, the current tribunal believes that it would be unreasonable to draw the res judicata effect of the original award with respect to the current actual damages claim on the basis of this vaguely drafted sentence only, especially in light of the legally and practically significant implication of the res judicata effect.

原告能否获得“实际损害赔偿”，获得多少？

The Claimant seeks recovery of actual damages incurred during the period from August 1998 to March 1999. The Claimant's actual damages claim is based on two alternative grounds, but ultimately seeks damages in the amount of JY XX per gram, which is equivalent to the amount it seeks based on other grounds, e.g., Section 4: Settlement Amount or liquidated damages.

Firstly, the Claimant, submitted its calculation of damages in an Attachment to the First' Written Statement, which includes calculations of fixed costs as well as profits. The Claimant conclusively argued in that Attachment that the amount of actual damages incurred was JY XX per gram. As conceded by the Claimant, however, due to the nature of confidentiality or business secret, it did not submit additional financial information to support these calculations, in particular, on variable costs such as raw material costs and manufacturing costs. Even for the fixed costs and XXX percent profit margin, the Claimant has not submitted any supporting documents, except for Mr. YYY's testimony that such calculations were provided internally by the finance department of his company. In response to the Chairman's question at the hearing, he stated that such calculations were internally generated, rather than provided by an independent expert outside the company. Also, strictly speaking, the Attachment to the First Written Statement itself is not evidence, but pleading. In light of the above, the tribunal finds it impossible to rely on the Claimant's calculation of damages as alleged in that Attachment.

Payment shall be effected by confirmed and irrevocable letter of credit in favor of Party A, payable at sight, allowing transshipment. The letter of credit shall reach Party 15 days before the month of shipment and shall be valid for not less than 90 days.

The letter of credit shall be in strict accordance with the terms and conditions of the contract. Otherwise, Party B shall be held responsible for the delay in shipment and Party A may lodge claims against Party B for the losses arising therefore. All the expenses arising from the amendments shall be for Party B's account.

信息披露的基本原则//Basic principles for information disclosure

The Company is obligated to perform its information disclosure obligation in accordance with the Administrative Measures on Information Disclosure by Listed Companies and the Share Listing Rules and other relevant laws/administrative regulations.

公司信息披露应当体现公开、公平、公正对待所有股东的原则，公司应当同时向所有投资者真实、准确、完整、及时地披露信息，不得有虚假记载、误导性陈述或者重大遗漏。//The Company information disclosure shall fully demonstrate the principle of treating all shareholders open, fair and justice, and  shall be truthful, accurate, complete and timely to all investors, and the information disclosed shall not contain any falsehood, misleading statement or major omission.

招股说明书、募集说明书及上市公告书//Prospectus, listing memorandum and listing announcement

公司编制招股说明书应当符合中国证监会的相关规定。//Prospectuses prepared by the Company shall comply with the relevant provisions of the CSRC.

凡是对投资者作出投资决策有重大影响的信息，均应当在招股说明书中披露。//Any information which may significantly affect the investment decision of an investor must be disclosed in the prospectus.

公开发行证券的申请经中国证监会核准后，公司应当在证券发行前公告招股说明书。//The Company shall, upon approval of the securities public offering application by the CSRC, make a public announcement of the prospectus prior to the securities offering.

公司董事、监事、高级管理人员，应当对招股说明书签署书面确认意见，保证所披露的信息真实、准确、完整。//The directors, supervisors and senior management personnel of the Company shall sign and endorse the prospectus and ensure the veracity, accuracy and completeness of information disclosed therein

公司披露本制度第三十四条规定事项后，已披露的事项出现可能对公司证券及其衍生品种交易价格产生较大影响的进展或者变化的，公司应当及时披露进展或者变化情况、可能产生的影响。//Where the Company has disclosed a significant event as mentioned under Article 34 and the disclosure may develop or change the trading prices of the Company’s securities and derivatives substantially, the development or change and the likely effect must be disclosed timely.

公司控股子公司发生本制度第三十四条规定的重大事件，可能对公司证券及其衍生品种交易价格产生较大影响的，公司应当履行信息披露义务。//Where a significant event as mentioned under Article 34, occurring to a subsidiary controlled by the Company, may substantially affect the trading prices of the Company’s securities and derivatives, the Company shall have a duty to disclose the information.

公司参股公司发生可能对公司证券及其衍生品种交易价格产生较大影响的事件的，公司应当履行信息披露义务。//Where a significant event occurring to a joint stock company of the Company may substantially affect the trading prices of the Company’s securities and derivatives, the Company shall have a duty to disclose the information.

因公司的收购、合并、分立、发行股份、回购股份等行为导致公司股本总额、股东、实际控制人等发生重大变化的，信息披露义务人应当依法履行报告、公告义务，披露权益变动情况。//Where any acquisition, merger, division, issuance of shares, share buyback or other conduct involving the Company may result in a significant change to the total share capital, shareholders or de facto controllers of the Company, the information disclosure obligors shall perform reporting and announcement obligations and disclose the changes in rights and interests pursuant to law.

公司应当关注本公司证券及其衍生品种的异常交易情况及媒体关于本公司的报道。//The Company shall monitor any unusual trading activity in the securities and derivatives of the Company and media reports on the Company.

证券及其衍生品种发生异常交易或者在媒体中出现的消息可能对公司证券及其衍生品种的交易产生重大影响时，公司应当及时向相关各方了解真实情况，必要时应当以书面方式问询。//Where any unusual securities and derivatives trading activity or media news may significantly affect trading of the Company’s securities and derivatives, the Company shall timely gather the facts from the relevant parties and make written queries where necessary.

公司控股股东、实际控制人及其一致行动人发生以下事件时，应当及时、准确地告知公司董事会，并配合公司做好信息披露工作。//The controlling shareholders, de facto controllers of the Company and other persons acting in concert shall timely and accurately notify the board of directors of the Company of any occurrence of the following events and cooperate with the Company in making proper information disclosure:

董事、监事、高级管理人员获悉重大信息应在 24 小时内报告公司董事长并同时通知董事会秘书，董事长应立即向董事会报告并督促董事会秘书做好相关的信息披露工作；公司各部门和下属公司负责人应当在 24 小时内向董事会秘书报告与本部门、本公司相关的重大信息；公司对外签署的涉及重大信息的合同、意向书、备忘录等文件在签署前应当知会董事会秘书，并经董事会秘书确认，因特殊情况不能事前确认的，应当在相关文件签署后立即报送董事会秘书和证券部。//Where the directors, supervisors and senior management learn important information, such information shall be made known to the chairman and the secretary of the board of directors within twenty-four (24) hours, and the chairman shall forthwith report such matter to the board of directors and urge the secretary of the board of directors in preparing well related information disclosure work; persons-in-charge of the sections and subsidiaries of the Company shall inform the secretary of the board of directors of any important information relating to their own department or company within twenty-four hours (24) after knowing such information; any contracts, letters of intent and memorandums and similar documents ready to be signed by the Company with a third party which relate to important information shall be informed to and confirmed by the secretary of the board of directors prior to the signing, or forthwith submitted to the secretary of the board of directors and the securities department after the signing in case of no confirmation available due to special reasons.

前述报告应以书面、电话、电子邮件、口头等形式进行报告，但董事会秘书认为有必要时，报告人应提供书面形式的报告及相关材料，包括但不限于与该等信息相关的协议或合同、政府批文、法律、法规、法院判决及情况介绍等。//The preceding reporting may be made in written form, through telephone, e-mail or in oral; however, the reporter shall provide written report and related material if deemed necessary by the secretary of the board of directors, including but not limited to such information related agreements/contracts, governmental approvals, laws, administrative regulations, court ruling and summaries, etc.

报告人应对提交材料的真实性、准确性、完整性负责。//The person who made such report shall be responsible for the veracity, accuracy and completeness of the reported contents.

董事会秘书评估、审核相关材料，认为确需尽快履行信息披露义务的，应立即组织证券部起草信息披露文件初稿交董事长(或董事长授权总经理) 审定；需履行审批程序的，尽快提交董事会、监事会、股东大会审批。//The secretary of the board of directors shall, when he deems it is necessary to perform information obligation ASAP in the assessment and review of related materials, forthwith organizes the securities department to draft an information disclosure document for review and determination by the chairman (or authorize this right to the general manager); where it is necessary to have it gone through the examination and approval procedures, it shall be submitted to the board of directors, the board of supervisors and the shareholder’s meeting for review and approval.

董事会秘书将审定或审批的信息披露文件提交深圳证券交易所审核，并在审核通过后在指定媒体上公开披露。//The secretary of the board of directors then submit the reviewed and approved information disclosure document to Shenzhen Stock Exchange for review and approval, and has it disclosed to the public in the designated media upon review and approval.

建立信息披露的制度，负责与新闻媒体及投资者的联系，接待投资者来访，回答投资者咨询，联系股东、董事，向投资者提供公司公开披露过的资料，汇集公司应予披露的信息并报告董事会，持续关注媒体对公司的报道并主动求证报道的真实情况。//Set up information disclosure system, responsible for the contact with news media or investors, receipt visits of investors, answer questions of investors, contact shareholders and directors, provide investors with disclosed information of the Company, collect information of the Company subject to disclosure and report them to the board of directors, keep on monitoring report about the Company by medias and actively prove the facts reported.

有权参加股东大会、董事会会议、监事会会议和高级管理人员相关会议，有权了解公司的财务和经营情况，查阅涉及信息披露事宜的所有文件。<}90{>The secretary of the board of directors shall have the right of participation in general meetings, meetings of the board of directors, meetings of the board of supervisors and the relevant meetings of the senior management personnel, and the right to ascertain the company’s business and financial status as well as inspect all documents relating to information disclosure matters.

监事会以及监事个人不得代表公司向股东和媒体发布和披露非监事会职权范围内公司未经公开披露的信息。//The board of supervisors and any individual thereinto shall not release and/or disclose any information still confidential and out of its scope to shareholders and media.

监事会向股东大会或国家有关主管机关报告董事、总经理和其他高级管理人员损害公司利益的行为时，应提前15 天以书面文件形式通知董事会，并提供相关资料。//In the event the board of supervisors make reports to the shareholder’s meeting or administrative authorities of the country in respect of acts detrimental to the interests of the Company done by the directors, the general manager and other senior management personnel of the Company, it is required to inform the board of directors in written form fifteen (15) days in advance, and to provide related information/materials.

公司的股东、实际控制人在发生本制度第四十条所述的情形时，应当主动告知公司董事会，并配合公司履行信息披露义务。//The shareholders and de facto controllers shall, in the event the cases described in Article 40 of this Measure occur, actively make it known to the board of directors of the Company, and perform the information disclosure obligation in cooperation with the Company.

公司各部门或各子公司发生购买或者出售资产、对外投资(含委托理财、委托贷款等) 、向其他方提供财务资助、提供担保、租入或者租出资产、委托或者受托管理资产和业务、赠与或者受赠资产、债权或者债务重组、签订技术及商标许可使用协议、研究开发项目的转移等交易达到下列标准之一的，应当及时报告：//A timely report shall be made to the transactions engaged by the departments/sections and subsidiaries of the Company, including but not limited to assets purchase or sales, investment to others (financing/loan entrustment included), financial aid/guarantee for others, lease-in/out of assets, assets/service management entrustment/being entrusted, donation/acceptance of assets, reorganization of creditor’s rights or debts, conclusion of technology/trademark license agreement, and transfer of R&D projects, etc., that meets the standard set forth as follows: 

与公司关联人之间发生的转移资源或者义务的事项，包括购买原材料、燃料、动力；销售产品、商品；提供或者接受劳务；委托或者受托销售；与关联人共同投资；其他通过约定可能引致资源或者义务转移的事项等。//Transfer of resources or obligations incurred with the related parties of the Company, including purchase of raw materials, fuels and power; sales of products and merchandize; provision or acceptance of labor service; sales entrustment/being entrusted; joint investment with related parties; and other transfers of resources or obligations arising from agreement, etc.
